<br /> KNO~ ALL ~N BY T~EBE PRESENTS, that we, Edward ~, Mahoney, Elder L. Lash, John A. Morris,
<br />Frank .L. Crocker, Samuel Lasting, Charles H. Oole and Goodrich Hatton, who have been chosen
<br />trustees for. the purposes-hereinafte~ stated.,.in considerationof the assignment to.us of cer-
<br />tain shares of stock in "The King's Daughters Hospital of Portsmouth, Virginia," a coz~oration~
<br />by the holders of said shares, a schedule of the names of said holders and the number of shares
<br />assigned by each being hereto annexed, do'hereby severally declare that the said shares are aris
<br />shall forever be held by us and our succeesor~ upon the following trusts::
<br /> "First, That the said Edward S. Mahoney, Elder L. Lash, John A. No~ris, Frank L. Orocker,
<br />8amuel Lasting, Charles H. cole, and Goodrich Hatton, Trustees as aforesaid, and their succes-
<br />sors, shall constitute a Board of Trustees which board shall forever hold and own the said stoqk
<br />and vote the same in all meetings of the stockho'Ide~s of "The King's Daughters Hospital of Por~s-
<br />mouth, Virginia," and that said stock shall be so voted by some person who shall be selected
<br />proxy for that purpQse at a meeting~of said Board of Trustees, duly called and held for that pub-
<br />pose before each annual or general meeting of the stockholders of said corporation and by a ma-
<br />jority of those present at said meeting.
<br /> "Second, A quorum of said Board of Trustees shall consist of a majority of all the Members
<br />of said Board of ~rustees.
<br /> "Third, Said Board of Trustees may atany time~ by r~solution in writing, ~and duly adopted
<br />by a majority of all the members of said Board, instruct its proxy as to how the vote or votes
<br />of said proxy may be cast on any questio~ arising at any stockholder's' meeting of said c.o~pora~
<br />tion, and said proxy shall be bound by said instructions.
<br />"Fourth, The said Board of Trustees shall be vested with all ot~er and
<br />responsibilities incident to-the ownership of said stock Subject always hereby
<br />created.
<br /> "Fifth, In case of a vacancy in said Board of Trustees, the same shall be filled bY the re-
<br />~ining members of said Boa~d. and in case of the failure or refusal to act on the par~ of said
<br />Board in the filling of said vacancy for a period of ninety days after the same shall have cc-';
<br />cuffed, the same may be filled by t~e Court of Hustings for the City of Poztsm°Uth, or the Judge
<br />of said court in vacation.
<br /> "Sixth, The certificates of ~stock held by said Board of Trustees hereunder~ shal~ be by them
<br />deposited in some safe place, subject to the order of said Board of Trustees.
<br /> "~eventh, When any member of said Board ~f Trustees shall cease ~o reside in ~he ~ity of
<br />Portsmouth, Virginia, he shall ipso facto cease to be a member of said Board. And in case of
<br />the incapacity or refusal to act of any member of said Board, the Cour~ of Hustings fo= the City
<br />of Portsmouth, Virginia, or the judge thereof, in vacation, may, upon the written application of
<br />any citizen of the City of Portsmouth, de~lare vacant the position of said member of said Board.
<br /> "Eighth, The said Trustees in the selection of a proxy to vote the said stock, and in the
<br />exercise of the powers hereby vested in them, e?~ll, at all times so ~tection and so
<br />exercise s~id powers that the said corporation, "The King's Da~ .Portsmouth,
<br />Virginia," shall exist and be maintained for the maintenance and operati the
<br />sick of the city of Portsmouth may be cared for without regard to their reli f, and if,
<br />at any time, such pla~e can not be so ma~n~a~ne~ and operated, that the property of said
<br />ration may be appli_ed to some purely charitable p~rpose in the city of Portsmouth, to ~e~select-
