May 28, 2002 1. The Interim City Manager be, and hereby is, authorized and directed to execute and deliver to the City of Suffolk an agreement for the sale of Sleepy Hole Golf Course and certain water transmission facilities (the "Agreement"). The Agreement shall be substantially the same as that which is attached hereto, and made a part hereof. 2. The Interim City Manager is further authorized and directed to take all such actions as are reasonably necessary to perform and to effect the intent of the Agreement, including by way of example and without limitation, the execution and delivery of deeds, bills of sale, and other legal documents, the conveyance of real and personal property, the execution of releases and waivers, the protection of all applicable rights and interests of the City and its citizens in this matter, and the granting of further assurances. 3. The City Attorney is authorized and directed to negotiate, draft, review, modify, and prepare (as may be applicable) all deeds, bills of sale, closing statements, lien waivers, releases, and other legal documents as may be necessary to effect the intent of this Resolution." Ayes: Benn, Griffin, Moody, Pitts, Robinett, Whitehurst, Holley Nays: None 02 - 159 - Adoption of a resolution authorizing a Memorandum of Intent (MOl) with the Portsmouth Museum Foundations, Inc. relating to the children's Museum of Virginia, the Fresnel lens and the Lightship Museum. Motion by Mr. Pitts, and seconded by Mr. Benn, to defer consideration of 02-159 to the meeting of June 11, 2002, and was adopted by unanimous vote. 02 - 160 - Adoption of a resolution authorizing the City Manager to execute a permit with Cox Communications allowing Cox to place an underground cable and power supply on the City's Sewage Pumping Station site located at 3718 Red Barn Road to allow for the installation of digital cable service in the City. Recommendation: · Adoption of a resolution authorizing the City Manager to execute a permit with Cox Communications allowing Cox to place an underground cable and power supply on the City's Red Barn Road Sewage Pumping Station site (3718 Red Barn Road). Purpose and Need: · Placement of the cable and power supply is in conjunction with Cox's installation of digital cable service in the Portsmouth area. · This permit may be revoked or terminated at the option of the City by giving Cox 180 days notice. Cox, under the permit, indemnifies and holds the City harmless from any liability arising from placement of the cable and power supply on City property. Financial Impact: · There is no financial impact. Motion by Mr. Whitehurst, and seconded by Mr. Benn, to adopt the following resolution, and was adopted by the following vote: "A RESOLUTION AUTHORIZING THE CITY MANAGER TO EXECUTE AND DELIVER A PERMIT TO COX COMMUNICATIONS FOR PLACEMENT OF UNDERGROUND CABLE AND POWER SUPPLY ON PROPERTY OF THE CITY KNOWN AS THE RED BARN ROAD SEWAGE PUMPING STATION SITE.
