May 28, 2002 <br /> <br /> 1. The Interim City Manager be, and hereby is, authorized and directed to <br />execute and deliver to the City of Suffolk an agreement for the sale of Sleepy Hole Golf <br />Course and certain water transmission facilities (the "Agreement"). The Agreement <br />shall be substantially the same as that which is attached hereto, and made a part <br />hereof. <br /> <br /> 2. The Interim City Manager is further authorized and directed to take all such <br />actions as are reasonably necessary to perform and to effect the intent of the <br />Agreement, including by way of example and without limitation, the execution and <br />delivery of deeds, bills of sale, and other legal documents, the conveyance of real and <br />personal property, the execution of releases and waivers, the protection of all applicable <br />rights and interests of the City and its citizens in this matter, and the granting of further <br />assurances. <br /> <br /> 3. The City Attorney is authorized and directed to negotiate, draft, review, <br />modify, and prepare (as may be applicable) all deeds, bills of sale, closing statements, <br />lien waivers, releases, and other legal documents as may be necessary to effect the <br />intent of this Resolution." <br /> <br />Ayes: Benn, Griffin, Moody, Pitts, Robinett, Whitehurst, Holley <br />Nays: None <br /> <br />02 - 159 - Adoption of a resolution authorizing a Memorandum of Intent (MOl) with the <br />Portsmouth Museum Foundations, Inc. relating to the children's Museum of Virginia, the <br />Fresnel lens and the Lightship Museum. <br /> <br /> Motion by Mr. Pitts, and seconded by Mr. Benn, to defer consideration of 02-159 <br />to the meeting of June 11, 2002, and was adopted by unanimous vote. <br /> <br />02 - 160 - Adoption of a resolution authorizing the City Manager to execute a permit with <br />Cox Communications allowing Cox to place an underground cable and power supply on <br />the City's Sewage Pumping Station site located at 3718 Red Barn Road to allow for the <br />installation of digital cable service in the City. <br /> <br />Recommendation: <br /> <br />· Adoption of a resolution authorizing the City Manager to execute a permit with Cox <br />Communications allowing Cox to place an underground cable and power supply on the <br />City's Red Barn Road Sewage Pumping Station site (3718 Red Barn Road). <br /> <br />Purpose and Need: <br /> <br />· Placement of the cable and power supply is in conjunction with Cox's installation of <br />digital cable service in the Portsmouth area. <br /> <br />· This permit may be revoked or terminated at the option of the City by giving Cox 180 <br />days notice. Cox, under the permit, indemnifies and holds the City harmless from any <br />liability arising from placement of the cable and power supply on City property. <br /> <br />Financial Impact: <br /> <br />· There is no financial impact. <br /> <br /> Motion by Mr. Whitehurst, and seconded by Mr. Benn, to adopt the following <br />resolution, and was adopted by the following vote: <br /> <br />"A RESOLUTION AUTHORIZING THE CITY MANAGER TO EXECUTE AND <br />DELIVER A PERMIT TO COX COMMUNICATIONS FOR PLACEMENT OF <br />UNDERGROUND CABLE AND POWER SUPPLY ON PROPERTY OF THE CITY <br />KNOWN AS THE RED BARN ROAD SEWAGE PUMPING STATION SITE. <br /> <br /> <br />
