<br /> Motion by Mr. Pitts, and seconded by Mr. Moody, to adopt the following
<br />resolution, and was adopted by the following vote:
<br />
<br />"A RESOLUTION AUTHORIZING THE CITY MANAGER TO EXECUTE A DEED, OR
<br />DEEDS TO CONVEY PARCEL 2 ON THE PLAT ENTITLED "SUBDIVISION OF
<br />HARBOR CENTER SECTION ONE PORTSMOUTH, VIRGINIA" TO THE
<br />INDUSTRIAL DEVELOPMENT AUTHORITY OF THE CITY OF PORTSMOUTH,
<br />VIRGINIA ALONG WITH THE "NORTH PIER" AND "SOUTH INLET" ON THE PLAT
<br />ENTITLED "PLAT SHOWING PROPERTY TO BE CONVEYED TO INDUSTRIAL
<br />DEVELOPMENT AUTHORITY OF THE CITY OF PORTSMOUTH, VIRGINIA", AND
<br />EASEMENTS NECESSARY TO THE DEVELOPMENT OF THE SOUTH
<br />WATERFRONT.
<br />
<br /> BE IT RESOLVED by the Council of the City of Portsmouth, Virginia, that the City
<br />Manager be, and he hereby is, authorized to execute a deed, or deeds, from the City of
<br />Portsmouth, Virginia to the Industrial Development Authority of the City of Portsmouth,
<br />Virginia conveying the following property and interests therein, said properties and
<br />interests being necessary to the development of the South Waterfront, as follows:
<br />
<br />Parcel 1.
<br />
<br />The fee simple interest in all that certain lot, piece, or parcel of land, with the buildings
<br />and improvements thereon and the appurtenances thereunto belonging, situate, lying
<br />and being in the City of Portsmouth, Virginia, and designated as "PARCEL 2" on the
<br />plat entitled "SUBDIVISION OF HARBOR CENTER SECTION ONE PORTSMOUTH,
<br />VIRGINIA" Scale: 1" = 100', dated August 27, 2000, and duly recorded in the Clerk's
<br />Office of the Circuit Court of the City of Portsmouth, Virginia in Map Book 18, at Pages
<br />138-139.

<br />Parcel 2.
<br />
<br />The fee simple interest in all that certain lot, piece, or parcel of land, with the buildings
<br />and improvements thereon and the appurtenances thereunto belonging, lying situate
<br />and being in the City of Portsmouth, Virginia, and designated as "NORTH PIER" on that
<br />certain plat entitled: "PLAT SHOWING PROPERTY TO BE CONVEYED TO
<br />INDUSTRIAL DEVELOPMENT AUTHORITY OF THE CITY OF PORTSMOUTH,
<br />PORTSMOUTH, VIRGINIA", which said plat is to be dated and recorded in the Clerk's
<br />office of the Circuit Court of the City of Portsmouth, Virginia.

<br />The deed of conveyance for the property described as "North Pier" shall provide that the
<br />"North Pier" or any part thereof, or any interest therein shall not be sold or conveyed in
<br />whole or in part, nor encumbered by easements or in any other manner, without the
<br />prior written consent of the City of Portsmouth, SAVE AND EXCEPT that the Authority
<br />may convey such easements and make such covenants with respect to said "North Pier"
<br />as it may be obligated to do by a Development Agreement with Ocean Marine, LLC,
<br />dated January 31, 2001.

<br />Parcel 3.
<br />
<br />The fee simple interest in all that certain lot, piece, or parcel of land, including the
<br />subaqueous bed and improvements thereon and all appurtenances and riparian rights
<br />thereunto belonging and the riparian rights belonging to the property adjoining thereto,
<br />lying, situate and being in the City of Portsmouth, Virginia, and designated as "SOUTH
<br />INLET" on that certain plat entitled: "PLAT SHOWING PROPERTY TO BE
<br />CONVEYED TO INDUSTRIAL DEVELOPMENT AUTHORITY OF THE CITY OF
<br />PORTSMOUTH, PORTSMOUTH, VIRGINIA", which said plat is to be dated and
<br />recorded in the Clerk's office of the Circuit Court of the City of Portsmouth, Virginia.
