<br /> Motion by Mr. Pitts, an~ secona~ by Mr. Whitehurst, to adopt the following
<br />resolution, and was adopted by the followin§ vote:
<br />
<br />"A RESOLUTION AUTHORIZING THE CITY MANAGER TO EXECUTE, ON BEHALF
<br />OF THE CITY OF PORTSMOUTH, A DEFINITIVE MERGER AGREEMENT AMONG
<br />THE PENINSULA TRANSpoRTATION DISTRICT COMMISSION, THE TIDEWATER
<br />TRANSPORTATION DISTRICT COMMISSION, AND THE COMPONENT
<br />GOVERNMENTS OF THE COMMISSIONS.
<br />
<br /> WHEREAS, the Peninsula Transportation District Commission was created by
<br />proper ordinances adopted by the City of Hampton and the City of Newport News in
<br />accordance with provisions of Chapter 32, Title 15.1 of the Code of Virginia,
<br />Transportation District Act of 1964, as amended, and is the owner and operator of mass
<br />transit equipment and facilities in the City of Hampton and the City of Newport News;
<br />and
<br />
<br /> WHEREAS, the Tidewater Transportation Distdct Commission was created by
<br />proper ordinances adopted by the City of Chesapeake, the City of Norfolk, the City of
<br />Portsmouth, the City of Suffolk, and the City of Virginia Beach in accordance with
<br />provisions of Chapter 32, Title 15.1 of the Code of Virginia, Transportation Distdct Act of
<br />1964, as amended, and is the owner and operator of mass transit equipment and
<br />facilities in the City of Chesapeake, the City of Norfolk, the City of Portsmouth, the City
<br />of Suffolk, and the City of Virginia Beach; and
<br />
<br /> WHEREAS, in order to achieve substantial economies of scale, have a stronger
<br />voice in federal and state government affairs, reduce the number and increase the
<br />efficiency of local government agencies in delivering transit services, and begin the
<br />process of creating a strong regional identity for the Hampton Roads area, the
<br />Peninsula and Tidewater Transportation District Commissions have determined that a
<br />new regional transportation district should be created and organized to serve the
<br />geographic areas of the Component Governments in accordance with the
<br />Transportation Act, and the Transportation District Commissions have entered into a
<br />non-binding memorandum of intent dated June 6, 1996, which set forth the principal
<br />terms and conditions for the new transportation district, to be named the Hampton
<br />Roads Transportation District; and
<br />
<br /> WHEREAS, the functions, affairs, and
<br />managed and controlled by a commission
<br />Transportation Distdct Commission; and
<br />
<br />property of the new district will be
<br />to be named the Hampton Roads
<br />
<br /> WHEREAS, the Component Governments (except the City of Virginia Beach)
<br />have approved the actions of the Peninsula and Tidewater Transportation District
<br />Commissions in entering into the memorandum of intent; and
<br />
<br /> WHEREAS, the Component Governments (except the City of Virginia Beach)
<br />have indicated their respective intent to adopt the appropriate ordinances creating the
<br />Hampton Roads Transportation District and the Hampton Roads Transportation District
<br />Commission and to support the Peninsula and Tidewater Transportation Distdct
<br />Commissions entering into a Definitive Agreement and other necessary agreements,
<br />including a Cost Allocation Agreement which specifies, among other things, the annual
<br />maximum obligations of any Component Government for payments to meet the
<br />expenses and obligations of the Hampton Roads Transportation District Commission;
<br />and
<br />
<br /> WHEREAS, the City of Virginia Beach has made detailed recommendations
<br />regarding the merger, and these recommendations have been accepted (with one
<br />amendment) by both the Peninsula and the Tidewater Transportation-'District
<br />Commissions, and these recommendations, as appropriate will be incorporated into the
<br />draft Definitive Agreement; and
<br />
<br /> WHEREAS, the Council of the City of Portsmouth, Virginia desires to become a
<br />Component Government of the new Hampton Roads Transportation Distdct
<br />Commission.
