(4) "Federated fund-raising organization." Any federation of in-
<br />dependent charitable organizations which have voluntarily joined together,
<br />including but not limited to a United Fund or Cc~mun~ty Chest for purposes
<br />of raising and distributing money for and among themselves and ~here
<br />membership does not confer operating authority ~nd control of the in-
<br />dividll~] agencies upon the Federated group organization.

<br /> (5) '~Fund-raising expenses." The expenses of ail activities that
<br />constitute or are an integral and inseparable part of a solicitatien.
<br />
<br /> (6) "Manager". The City Manager of the City of Portsmouth or
<br />member of his staff to w~ucra he may delegate his duties under this Article.
<br />
<br /> (7) Members ~p. Those persons to whc~, for payment of fees,
<br />dues assessments, etc., an organization provides se/vices and confers a
<br />b~na fide right, privilege, professional standir~, henor or other ~rect
<br />b~nefit, in addition to the right to vote, elect officers, or hold
<br />offices. The term "m~ubership" shall not include those persons v~]o are
<br />granted a membership upon making a contribution as the result of solicitation.

<br /> (8) "parent organization". That part of a charitable organizatien
<br />which coordinates, supervises or exercises control ov~r policy, fund
<br />raising, and expenditures, or assists or advises one or more chapters,
<br />branches or affiliates.
<br />
<br /> (9) "Person". Any individual, orgaD_ization, trust, foundation,
<br />association, psrhnership, corporation, society, or other group or cc~bination
<br />acting as a unit.
<br />
<br /> (IO) "Professional fund-raising counsel." - Any person who for a
<br />flat fixed fee under a written agreeraent plans, conducts, manages,
<br />carries on, advises or acts as a consultant, whether directly or indirectly,
<br />in connection with soliciting contributions for, or on b~hatf of, any
<br />charitable organization, but who actually solicits no contributions as
<br />p~rt of such-services. A bona fide salaried officer or employee of a
<br />registered parent organization shall not be deemed to be a professional
<br />fund-raising counsel.

<br /> (11) "Professional solicitor". Any person who, for a financial or
<br />other consideration, solicits contributions for, or on behalf of, a
<br />charitable orgamization, whether such solicitation of contributions is
<br />perfozmed persor~lly or th_rough bis agents, servants, or employees or
<br />through agemts, servants or ~mployees specially e~ployed by, or for a
<br />charitable organization, %~o are engaged in the solicitation of contri-
<br />butions under the direction of such person, or ~UY person who, for a
<br />financial or other consideration, plans, conducts, manages, carries on,
<br />advises or acts as a consultant to a charitable organization in connection
<br />with the solicitation of contributions but does not qualify as a pro-
<br />fessional fund raising counsel, a bona fide salaried officer or a bona
<br />fide salaried parent organization shall not be deemed a profession~I
<br />solicitor.
