They shall be appointed by <br />the city council for terms of office of three (3) years from the date of <br />appointment. Of the members appointed, one (1) of the members of the <br />commission shall be appointed from at least three (3) nominees made <br />by the Port Norfolk Civic League, and one (1) shall be appointed from <br />at least three (31 nominees made by the Park View Civic League. The <br />five (5) remaining members shall be chosen to provide professional <br />expertise as architects, attorneys, rea] estate agents or historians. <br /> <br />Each commission shall appoint a secretary who shall be an officer or <br />employee of the City Planning Department. The respective secretaries shall <br />keep records of all resolutions, proceedings and actions of each commission. <br /> <br />Four (4) members of each commission, respectively, shall constitute a <br />quorum for the transaction of its business or the performance of its <br />functions. Each commission shall adopt by-laws and rules for the <br />transaction of its business and the performance of its duties, which shall <br />provide for the time and place of holding regular meetings. They shall also <br />provide for the calling of special meetings by the chairman or by at least <br />two (2) members of the commission. Ail meetings of each commission shall be <br />open to the public, and all action by each commission must be taken at a <br />public meeting. <br /> <br />Each commission shall keep a record of its resolutions, proceedings and <br />actions. The concurring affirmative vote of a majority of the members <br />present shall be necessary for the adoption of any resolution, motion or <br />other action of either commission. Each commission in the exercise of its <br />powers and performance of its duties shall act only by formal resolution <br />which shall set forth the reason for its decision and the vote of each member <br />participating therein which shall be spread upon its records which shall be <br />open to public inspection. Every such decision of the commission shall be <br />based upon a finding of fact which shall be reduced to writing and <br />preserved among its records. Each commission shall submit an annual report <br />of its activities to the city council. <br /> <br />Sec. 40-178.1. Other powers and duties. <br /> <br /> Each commission shall have the power to promote public interest in the promotion <br />and preservation of educational, cultural and economic interests, opportunities and <br />advantages through the execution and attainment of the purposes and objectives of <br />the historic district and to that end, may employ such reasonable means of publicity <br />and education as it may deem necessary with relation to the preservation and <br />protection of historic buildings and structures and places and areas of historic <br />interest in the city. It shall be the continuing duty of each commission to investigate <br />and designate buildings, structures, places and areas in the city having historic <br />interest or value which should be preserved and protected in the execution and <br />attainment of the purposes and objectives of the historic district and to report <br />thereon from time to time to the council for consideration as ~o whether they or any <br />of them shall be set apart for preservation and recognition, through whatever means <br />39-142 possible. <br /> <br />128 <br /> <br /> <br />
