September 26, 2023 <br /> <br />1. The Articles of Incorporation of the Portsmouth Community Broadband <br />Network Authority is hereby amended by: <br /> <br />(a) Deleting the first three paragraphs of Article V in their entirety and replacing them <br />with the following: <br /> <br />The powers of the Authority shall be exercised by a board of directors composed of seven <br />members appointed by the City Council of the City of Portsmouth. City Council may <br />remove board members at any time. In the event a board of directors member’s term ends <br />by resignation or removal, that board of directors member shall be disqualified and their <br />seat on the board of directors shall become automatically vacant. The City Council of the <br />City of Portsmouth may appoint a replacement to serve the remainder of the term. <br /> <br />The terms of office of the board of directors members shall be four years. However, the <br />terms of the initial members of the board of directors shall coincide with the terms of the <br />City Council members at the time of the Authority’s formation. Members may succeed <br />themselves. Appointments to fill vacancies, however arising, shall be for the remainder of <br />the unexpired term. If at the end of any term of office a successor director has not been <br />appointed, then the director whose term of office has expired shall continue to hold office <br />until a successor is appointed and qualifies. <br /> <br />The board of directors shall annually elect from among its members a chair and a vice- <br />chair, and shall annually elect a secretary and treasurer who need not be members. <br /> <br />(b) Deleting the second to last paragraph of Article V, which begins, “The terms of <br />office of the..,” in its entirety and replacing it with the following: <br /> <br />The terms of office of the initial members of the board of directors of the Authority <br />shall begin on the date of the adoption of the initial Articles by the City Council of <br />the City of Portsmouth. <br /> <br />2. The City Manager, City Clerk, and City Attorney are hereby authorized and <br />directed to undertake such other and further administrative acts as may be necessary to <br />cause this amendment to the Articles of Incorporation to be registered promptly with the <br />State Corporation Commission. <br /> <br />3. <br />This Resolution shall be effective upon adoption.” <br /> <br />Ayes: Hugel, Lucas-Burke, Moody, Glover <br />Nays: Barnes, Tillage, Whitaker <br /> <br />23-306(b): <br /> <br />Motion by Ms. Lucas-Burke, and seconded by Mr. Hugel, to amend the language <br />of the ordinance to include the following: <br /> <br />Members that serve on the Portsmouth Community Network Broadband Authority <br />must own property, have a business, or be a resident of the City of Portsmouth. <br /> <br />Motion by Mr. Tillage, and seconded by Dr. Whitaker, to defer above amendment <br />to the October 10, 2023, City Council meeting to allow for additional discussion and clarity, <br />and was adopted by the following vote: <br /> <br />Ayes: Barnes, Hugel, Lucas-Burke, Moody, Tillage, Whitaker, Glover <br />Nays: None <br /> <br />23 - 307 - Adoption of a resolution authorizing the conveyance of two drainage <br />easements encumbering property having a Suffolk Tax Parcel Number of #35*XX <br />to the Commonwealth of Virginia in furtherance of the construction of the SPSA <br />Flyover Ramp along Route 58. <br /> <br /> <br /> <br /> <br /> <br /> <br />
