<br /> ~ ENOW ALL ~ BT~HESE PRESETS, that we, Edward S. Mahoney, Elder L. Lash, John A~ Morris, Frank
<br /> L. Crocker, Samuel Lasting, Charles H. Cole and Goodrich Hatton, who have been chosen trustees for
<br /> the purposes hereinafter stated, in consideration of the assignment to us of certain shares of stock
<br /> in "~he King's Daughters Hospital of Portsmouth, Virginia," a corporation, by the holders of said
<br /> shares, a schedule of the names-of said holders and the number of shares assigned by each being here-
<br /> to annexed, do hereby severally declare ti~a~ the said shares are and shall forever be held by us and
<br /> our successors upon the following trusts:
<br /> "First, That the. said Edward S..Mahoney, Elder L. Lash, John A. Morris~ Frank L. Crocker, Samuel
<br />Lasting, Charles H. C~tes, and Goodrich Hatton, T~stees as afo~resaid, and 'their successors, shall
<br />constitute a Board of Trustees which board shall forever hold and own the said stock and vote the
<br />same in all meetings of the stockholders of"The King's-Daughters Hospital of Portsmouth, Virginia,,
<br />and that said. stock shall be so voted by some person ~ho shall be selected a proxy for that~purpose
<br />at a meeting of said Board of T~stees, duly called and held for that purposed, before each amnual or
<br />genera2 meeting of the stockholders Of said corporation and by a majority of those present at said
<br />meeting.
<br /> "Second~ A quorum of said Board of T~stees shall consist of a majority of all the members of
<br /> said Board of ~rus~ees~
<br /> "Third, ~aid Board of Tm~stees may st any time, by resolution in writing, and duly adopted by
<br />a majority of all the members of said Board~ instruct its proxy as to how the vote or votes of said
<br />proxy ma, be cast on any question arising at any stockholders' meeting of said corporation, and said
<br />proxy shall be bOund by said instructions
<br /> "Fourth~ The said Board of Tm~etees ~hall be vested with all other powers, privileges and re-
<br />sponsibilities incident to the ownership of said stock subject always tc the trusts hereby created.
<br /> "Fifth, In case of a vacanoy in said Board of Tn~stees, the same shall be filled by the remain-
<br />ing members of said Board, and in case of the failure or refusal ~o act on the part of said Board in
<br />the filling of said vacancy for a period of ninety days after the same shall have occurred, the same
<br />may be filled by ~he Court of Hustings for the City of Portsmouth, or the Judge'of said court in va-

<br /> "Si~th~ The certificates of stock held by said Board of Trustees hereunder, Shall be by th~m de-
<br />posited in some s~fe place, subject to the order of said Board of Trustees.
<br /> "Seventh, When any member of said Board of Trustees shmll cease to reside in the City of Ports-
<br />mouth~ Virginia, he shall ipso facto cease to be a member of said Board. And in case of the inoapaL
<br />city or refusal to act of any member of said Board, the Court of Hustings for the city pf. Portsmou'th,
<br />Virginia, or the Judge thereof, in ~acation, may, upon the written application of ant cmtizen of the
<br />City of Portsmouth, declare vacant the position of said member of s~id Board.
