April 2~th, 1945. of Portsmouth, Virginia, a municipal corporation, party of the Second Part~ k~TNESSETH~ Section 1. For and in consideration of a fe~ of Seven Thousand. Two Hun- dred Dollars ($7,200.00), to b~paid at the rate of Ttm~e Hundred Dollars ($300.00) per month, the first payment to be made at.the end of t~irty (30) days following the signing of this con- tract and agreement, and the following payments to be made at the end of each successive thirty (3©) days until the total fee h~s been paid, the Parties of the First Part agree to direct and supervise and cause to be made a Comprehensive City Plan for the City of Portsmouth~ including recommendations for the extension of the City boundaries of Portsmouth in Norfolk County, as outlined in Exhibit aA" attached hereto, entitled "City Planning Program for Portsmon'sh, Vir - ginia", andincluding in connection with the annexation recommendations the lis~ maps outlined in Exhibit mB" attached hereto, .and which comprehensive plan ~nd annexation recommendations s shall be completed within twenty-four (24) months from the date of this contract and agreement. All plans, outlines, drawings, maps, and data of every kind made as provided for in this con- tract and agreement and in Exhibits ~A~ and~B~, shall be and become the property of said City of Portsmouth, Virginia. Section 2. The Parties of the First Part agree to provide such staff as is necessary to do t~[e 'work outlined in this contract smd agreement, and the payment for such services shall be as provided in Section 3 of this contract and agreement. The Parties of the First Part will olace a representative in Portsmouth to gather the necessary information and prepare it in suitable form for public presentation. This representative will be availabl~e for ~onsultation with local ofl~icials and for puolic c~onferences on various phases of tl~e wor~.~ ~Members of the firm of the Par~ies of the First Part wizl make periodic visits to Portsmouth to~ suoerviee and direct the work, 'and, insofar as possible and practicable~ will attend conference~ an~ .oublic hearings~ address o~ganizations, and render such other information as will facilitat the execution of the Oomprehensive City Plan. Section ~. The Party of zhe Second Part agrees to provide office space, cffice equipment, including drafting tables and desks,and to assume all costs of the prepara- tion of the work provided for in this contracZ and agreement, and to pay traveling and living expenses of all members of the firm or for any of their staff for any traveling expenses in connection with the preparation of the work provided for in this contract and agreement, and to compensate the Parties of the First Part for all blue prints and materials~ and for all servi- ces rendered by their associates and a~sistants in accordance with actual time and service ren- dered, based upon the ~following rates of compensation: Associate City Planners Assistant City Planners Engineers ~d De'~igners Draftsmen Field Representative $35.00 per day 25.00 '~ " 25.00 ~' " 12.5© "~ ~OO.OO ~ month Bills for services and exoenses to be rendered and payable monthly. The parties of the first part agree that the e~pense~ as contemplated in this Section 3 of this contract anm agreemen~ ~ill ce kept to a m~,nimum consistent wi~h the wor~ contemplated. It is est~imated that the~expenses ~in connection with this work would n~t exceed Nine T~ousand Dollars ($~,O00.00) for e=ch year of the t~o-year period covered by thi? contract ~ and agreement, and it will be the effort of the Parties of the First Part to keep the expendi- tures within this figure. The total cost, including the fee, of preparing the comprehensive ci ty plan and[ the annexation Study, exclusive of any printing of the reports~ shall ~ot' exceed Twenty-Five Thousand Two Hundred Dollars ($25,~Y00.00). It is understood that the Party of the Second Part shall have access at al times to the records of expenditures an~ bills paid in the office of the Pa~ties of the First Part. gection 4. It is understoo& tb~t the Parties of the First Part will have the full co-operatio~ and assistance of the various City Departments and such access to the va- rious City records that might be necessary. Section 5. it is hereby agreed and understood that this contrac~ does not include the cost of printing reports or the publication of ordinances, but that the Parties of the First Part will furnish a copy of any or al~ reports in suitable shape for publication to the Party of the Second Part, and will collaborate and assist the Party of the Second Part in selecting a printer and in producing a satisfactory printed report. The Party of the Second Part agrees to furnish Parties of the First Par% with fifty (5©) copies of ~uy printed final report; provided that the Parties of the First Part shall have the opportunity and privilege of buying any number of cooles at the cos~ of printing~ if order for same is given at the time of printing.
