Motion of Mr. Fox that %he supplemental contract be included m._ the minutes was adopted ~ud by the following vote: Ayes: Fox, Grimes, Lav~ence, Sturtevant, Weisem~ Nays: N-one C out ra ct "THIS SBPPLE~AL CONTRACT, Made the 7th day of June, 1946, between the Virginia Smelting Company, a coz~oratlon of the State of Maine, party of the first part, the Co~ty of Norfolk-, acting through its Board of Supervisors, party of the second part, and the City of PortsmOuth, party of the third part, (the last two being political subdivisions of the State of Virginia). WHERW~S, the parties aforesaid entered into a certain contract under date April 28th, 1944, concerning the extension of watgr mains to West Norfolk, and ¥~HEHEAS, pls_us have been made and bids have been received for the extension of said water mains and lowest bid~eceived amounted'to the s~m of $4~,~4~.00, which, together with engineering fees will exceed the sum of $4~,000~00; and WHF~WJ~, each of the parties have agreed to advsnce the sum of $1S,000.00 to pay for the extension of safd mains, and to modify the paragraphs numbered 4 and 8 in said original contract. NOW, T~REFORE, THiS AGenT ~IT~PESSETH: That in consideration o f the benefits to be received by each of the pa~ties and the mutual promises herein contained, the parties hereto agree with each ether as follows: (1) The City of Portsmouth agrees that as soon as the ~irgi~_ia Smelting Company and the County of Norfolk each pay to the City of Portsmouth the sum of Fifteen Thou - sand Dollars ($18,000e0O), it will award to the A.G. Pir~kston and Company the contract for the construction of said ~ter mains at its bid of $4Z,9~_S.00, according % its bid recently re - ceived. · ~ (2) The Virginia Sm.citing Company a~ees and gaarantees to purchase the Cmty of Portsmouth for the period of fifty-fou~ (~4) months from the time sa&d water main_s have been completed and placed in s e~vice water to the amount 'of Five Thousand Dollars per ~n hum for the first four years of said period, and water to the ~mo~ut o~ Two Tho[~sand Fmve Hun - d~ed Dollars during the remaining six months of said period, and thereafter untml the expira - tion of this contract, or until the gross sales forv~ter furnished through said mains on the West Norfolk side of the Western B~anch of the Elizabeth River have reached the sum of Forty- five Thousand dollars, water to the amo~u~t of Fifteen Hundred Dollars per annum. The same is to be paid for according to the ~chedule of rates now or hereafter, promulgated by the Council of the City of Portsnouth for like consumers, monthly upon bills rendered by the City of Ports- mouth. The City of Portsnouth agrees that.for th.e t~rm of fifty- four months from the time s~id water mains are completed and p~ced mn serVmce, it will make a~ az~aual accounting of all sums paid by the Virginia Smelting Comp~o~y for ~ater~ furnished it through said maim~, and af- ter deducting from the amounts so paid the sum of $1,666.66-2/Z during the first Four years said period, and the sum of $8~.~-1/~ during the remaining six months of said period, it wilt refund the balance thereof to the Virginia Smelting Company, not- to exceed however, the sum of SS,~J8.~S-.1/$ during any of said yearly pqri6~S or the sum of $1,666.66-2/~ f~ the las~ six months period. I.t is expressly un,creviced and agreed between the parties that if it is found u~pon such aqcount.mng that the .Virgini~meltir~ Company has not paid to the City 'the sum of $1,866.68-,B/~ d~zng any of said yearly.-~eri0ds and the sum of $88~,8~-1/~ during the remsi n- ing six mo~ths period, it will immediately pay to the City the difference between the s aid sum and th~ mnount paid and it will not be estitled to any refund on one-third of the costs paid by it for installing said mains, but sh6uld the water service to the Virginia Smelting Company be ~iscontinued because of leaks, repairs, or some cause not due to the fault of said Company fo~ ~ period or periods of time of m~re than three days, then the terms "an annusl yea~ or ~one yea~ period" as use~ in this contract shall be taken.t o mean three h~d~ed and sixty five days of water delivery~ (~) In order to reimburse the County of Norfolk for one-third of the amount paid by it for' the construction of-said mains, the City o f Portsmou.th agrees to p ~y to the County of Norfolk, in annual payments~ ~1~ sums of money collected by mt for water furnish~
