The City shall have the ~the~ right, at ~uy and all times it may elect, to make separate and independent test of any lamp that it may desire and for this purpose, the City by and through its duly authorized representatives shs_ll have the right of access to any and all lamps, appliances, fixtures and proDerty of the said Company which the said City may find necessary to make said teat. PAY~ENT FOR SE~ICE All payments to be m~de by theCity to the Cpmpeny under this agreement shall be made monthly, at the rates herein set forth, on or before the 15th day o f each month for the service rendered du~ing the month next preceding the date of such payment. PA~T VI TER~I OF AGREE~-~NT This agreement shall be binding upon the respective parties, their successors and assigns, and shall cnntinue in full force and effect for a term~ of ten (10) yea~s from and after the first day o f Jsnuary, 194~, and unless telnninated by twelve (12) months' wzoitten notice prior to the date of e~piration, this agreement shall continue in full force and effect for another like t e~m. PART Vii CANCELLATION This agreement cancels and supersedes as of the effective date hereof all previous agreements ~ith the City for street and highway lighting service, traffic lighting service end miscellaneous light and power service. PART VIII FRANCHISE STAT~JS It is agreed that this agreement shall not grant o r extend to the Com- pany any franchise and that nothing herein contained shall be construed as admitting on the pa~t of the City of Portsmouth that the Virginia Electric ~ud Powe~ Co~pany holds a franchise in said City for its heat, light and power system, and this contract is made without prejudice to the ~ights of either party in regard to such a franchise or the expiration thereof. IN ~'ITNESS E~E_REOF, the City of Portsmouth has caused this agreement to b e executed in its name by its City ~anager or other proper officer and its co~porate seal to be hereunto affixed, attested by the City Clerk o~ other proper officer, and the said Virgi- nia Electric and Power Company has caused this agreement to b e executed in its n~me by its Vice President thereunto duly authorized, and its corporate seal to be hereunto affixed, attested by its Assistant Secretary thereunto duly authorized, on the day and year first above w~itten, said officials of the City o f Portsmouth having been duly authorized so to do by ordinance adopted by the Cotuucil of said City, on the 13th day of May, 19~7.
