<br /> first part, the City of Portsmouth, party of the second part,
<br /> b6th being political~ s'~bdivisions of the ~tate of Virginia,
<br /> 'WHEP~EAS, by an _~ct of the General Assemblt~ of Virginim~
<br /> known as Chapter 130, ~cts 19~2~ approved f~arch 9~ 1942~ the
<br /> Elizabeth River T~u~_nel District was created and de~e~uined to
<br /> be a political subdivision of the State of Vir.ginia, andwas
<br /> empow&r~d by and through' the Elizabeth River ~nnel Commission,
<br /> also created by said Act, ~o contrast and be contracted with;

<br /> V~HEREA$, unde~ the provision of Section 8 of said Act, the
<br /> said Commission was empowered "to proVi~iG-~(a) means of protec-
<br /> 'tion ~o the City of Portsmouth and to the County of Norfolk
<br /> against dimir_ution or loss of income to sai~ City or County,
<br /> resulting from the construction of a tunnel or bridge, and
<br /> (b) to provide means for~the ~a~ent of any obligations of
<br /> said County, the paymenz of which mi~u~ otherwise be impaired'',
<br /> and to.compensate she said City and County for any diminution
<br /> Of ~evenue due to the existence of the projec'0 authorized to
<br /> be constructed and operated under authority of said Act, and
<br /> 'WHEREAS, the Elizabeth River Tunnel Commission has decided
<br /> to~let contracts by and on behalf of the Elizabeth River Tunnel
<br /> District for a t~el across the Southern Branch o f said River
<br /> and a bridge across the Easter~ Branch of said River as a pro-
<br /> ject to establish a physical cormection between the cities
<br /> Norfolk and Portsmouth; and
<br /> ~W~EREAS..such project vzill cause a diminution or loss
<br /> revenue to said-City and County ~in the operatic~ of the Nor~
<br /> folk County Ferries, and the said Commission ~y a resolution
<br /> adopted on the ~enth day of February, 1950, a.copy of which
<br /> is hereto attached, provided that the Elizabeth River Tunnel
<br /> District will pay ~o-the City of Port~mouth thee sum of Two
<br /> Million Dollara's~nd to the County'of ~'orfolk the sum of.Two
<br /> ~illion,Dollars, without interest, in accordance v~i~ the
<br /> provision 0f said Act.
<br /> NO~4 THER~wOPJ~, THIS AGREE~NT ~KT~SETH: That in consider-
<br /> etlon Of t~e ~remises and certain valuable, consideration, and
<br /> accordance wztn the authorzty gr~ntsd .oy .the act cz the Gen-
<br /> erate.Assembly' of Virginia, creating the ~tizabeth River Tu~nael
<br /> District, known as Chapter 130, Acts~ 1942, and approved March
<br /> 9~ 1942, the Elizabeth River Tunnel District hereby covenants
<br /> and agrees t'o pay to the City of-Portsmouth the sum of Two
<br /> Million Dollars, the same to be paid out of the revenues of tl~
<br /> project to be constructed under the provision of said Act, over
<br /> m~d above the revenues required to pay the cost of operating and
<br /> maintaining-the .project and the bonds and i~terest thereon issued
<br /> on account thereof as the same become due ~snd. s.hall be paid in
<br /> monthly amo~uuts as fur~ds are available s~ud before the tolls
<br /> shall cease and the project made free in acc~rds~ace with Section
<br /> 13 of said Act~
