d. Each Member Agency is responsible for purchasing and maintaining a secure <br />network connection with CentralSquare Technologies. Each Agency must <br />have a high speed (IOMbps) network connection, firewalls, ports, network <br />security, and must grant CentralSquare the ability to remotely access all <br />project related systems. <br />e. Each Member Agency will comply with all Federal, State, and local laws and <br />regulations regarding the access, use, storage, and release of confidential <br />information. <br />f. Each Member Agency will decide which information to share with other <br />Member Agencies. <br />g. Each Member Agency is listed in Attachment A, attached hereto. <br />h. Each Contract Agency is listed in Attachment B, attached hereto. <br />I. TERM <br />a. This Agreement shall commence on , 2023, and shall <br />continue for a term of five (S) years. Thereafter, the Member Agencies may <br />renew the Agreement for a period of time agreed upon by the Member <br />Agencies. Such renewal will also be made by ordinance, in the same <br />formality as this Agreement, and may include amendments the Member <br />Agencies deem appropriate. <br />III, ADVISORY PANEL <br />a. The HRCIP and use of CAD to CAD connection shall be governed by an <br />Advisory Panel, which shall discuss and approve policies and procedures for the <br />oversight, management, and operation, of HRCIP. It shall include two standing <br />committees: the Administrative Committee and a Change Management <br />Committee. Each Member Agency shall select whether the individual appointed <br />to the Administrative Committee or one individual appointed to the Change <br />Management Committee to serve as a voting member on the Advisory Panel. <br />b. The Advisory Panel may establish additional committees as needed. <br />c. Each Member Agency's Advisory Panel member shall have one vote on any <br />matter requiring a vote of the Advisory Panel. If such member is absent, the <br />Member Agency's second member shall be entitled to vote in the voting <br />member's stead. <br />d. Each January, the Advisory Panel shall vote to select a Chair, Vice Chair, and <br />Secretary from amongst its members, whose responsibilities are as follows: <br />i. The Chair shall conduct all meetings of the Advisory Panel. <br />ii. The Vice Chair shall carry out the functions of the Chair in the absence of <br />the Chair, and any other duties as may be assigned later by the Advisory <br />Panel. <br />iii. The Secretary shall create and distribute an agenda for each meeting, <br />prepare minutes, and maintain the records of the Advisory Panel in a <br />common storage location accessible to all Member Agencies, and any <br />other duties as may be assigned later by the Advisory Panel. <br />
