The board of directors shall annually elect from among its <br />members a chair and a vice - chair, and shall annually elect a secretary and <br />treasurer who need not be members. <br />(b) Deleting the second to last paragraph of Article V, which begins, "The terms of <br />office of the..," in its entirety and replacing it with the following: <br />The terms of office of the initial members of the board of directors <br />of the Authority shall begin on the date of the adoption of the initial <br />Articles by the City Council of the City of Portsmouth. <br />2. The City Manager, City Clerk, and City Attorney are hereby authorized and <br />directed to undertake such other and further administrative acts as may be necessary to <br />cause this amendment to the Articles of Incorporation to be registered promptly with the <br />State Corporation Commission. <br />3. This Resolution shall be effective upon adoption. <br />ADOPTED by the Council of the City of Portsmouth, Virginia, at a meeting held <br />on September 26, 2023. <br />Teste: <br />City Clerk <br />
