EXHIBIT A <br />CITY OF CHESAPEAKE, VIRGINIA AND CITY OF PORTSMOUTH, VIRGINIA <br />MEMORANDUM OF AGREEMENT <br />FOR <br />FIBER OPTIC INFRASTRUCTURE EXCHANGE, USE, AND MAINTENANCE <br />THIS MEMORANDUM OF AGREEMENT (this "Agreement ") is made this day <br />of , 2022, by and between the City of Chesapeake, Virginia, a municipal <br />corporation that is a political subdivision of the Commonwealth of Virginia (hereinafter <br />"Chesapeake ") and the City of Portsmouth, Virginia, a municipal corporation that is a political <br />subdivision of the Commonwealth of Virginia (hereinafter "Portsmouth ") or collectively as the <br />"Parties." <br />RECITALS <br />A. Chesapeake is constructing a 162 -mile, City -wide fiber -optic backbone (the "Chesapeake <br />Fiber Backbone "), and lateral network to connect city facilities, to build a world -class <br />telecommunications infrastructure for the 21st Century and beyond. In the near -term, this <br />infrastructure is intended to support core municipal, education, and library services, and <br />will support traffic management, public safety radio communications, and water utility <br />operations. In the long -term this infrastructure could support ubiquitous high -speed <br />internet services in underserved areas, a range of smart city applications, and support for <br />regional connectivity. The planned location for Chesapeake's fiber -optic backbone and <br />lateral network is reflected in Exhibit A, attached hereto and incorporated herein by this <br />reference. Chesapeake desires access to approximately 12.85 miles of Portsmouth's <br />backbone fiber (I2- strands) to interconnect two key locations along Chesapeake's network <br />as reflected in Exhibit B, attached hereto and incorporated herein by this reference. <br />B. Portsmouth is constructing a 60 -mile, City -wide fiber -optic backbone (the "Portsmouth <br />Fiber Backbone "), and lateral network to connect city facilities, to build a world -class <br />telecommunications infrastructure for the 21 st Century and beyond. In the near -term, this <br />infrastructure is intended to support core municipal, education and library services, and <br />will support traffic management, public safety radio communications, and water utility <br />operations. In the long term, this infrastructure could support ubiquitous high -speed <br />internet services in underserved areas, a range of smart city applications, and support for <br />regional connectivity. The planned location for Portsmouth's fiber -optic backbone is <br />reflected in Exhibit C, attached hereto and incorporated herein by this reference. <br />Portsmouth desires access to approximately 46.48 miles of Chesapeake's backbone fiber <br />(12- strands) to interconnect to key locations within Chesapeake as reflected in Exhibit D, <br />attached hereto and incorporated herein by this reference. <br />C. Portsmouth also requests access to Chesapeake's ROW to place Portsmouth conduit <br />underground to interconnect its backbone network as depicted and summarized in Exhibit <br />E, attached hereto and incorporated herein by this reference. <br />
