EXHIBIT A <br />LEASE AGREEMENT BETWEEN THE CITY OF PORTSMOUTH, VIRGINIA AND <br />THE CITY OF SUFFOLK, VIRGINIA, FOR A PORTION OF PORTSMOUTH'S <br />RIGHT -OF -WAY IN SUFFOLK FOR USE AS A MULTI -USE RECREATIONAL TRAIL <br />THIS AGREEMENT, made as of this 1st day of July, 2021, by and between the CITY OF <br />PORTSMOUTH, a political subdivision of the Commonwealth of Virginia, hereinafter called the <br />Lessor, and the CITY OF SUFFOLK, a municipal corporation of the Commonwealth of <br />Virginia, hereinafter called the Lessee; <br />WHEREAS, Lessor and Lessee entered into a certain Lease Agreement dated July 17, 2006 for <br />the use by Lessee of a certain portion of former railroad right -of -way owned by the Lessor for <br />use as a multi -use recreational trail (the "Prior Lease "); and <br />WHEREAS, the final extension term of the Prior Lease expires on June 30, 2021; and <br />WHEREAS, the parties desire to enter into a new lease ( "Lease ") continuing the rights of the <br />parties on substantially the same terms as the Prior Lease; <br />NOW, THEREFORE, WITNESSETH: That Lessor does hereby lease unto the Lessee, and <br />Lessee does hereby lease from Lessor, the following described real estate, to -wit (the "Leased <br />Premises "): <br />ALL THAT certain tract or parcel of land situated on the former Norfolk Southern <br />Railroad owned by the City of Portsmouth from Moore Avenue to Suburban Drive <br />and further identified as Tax Account Number 053457200 and Tax Map Parcel <br />35 *XX . <br />The premises are hereby leased unto Lessee for an initial term of five (5) years, <br />beginning on the first day of July 2021 and ending on the last day of June 2026. <br />Upon written agreement of the Lessor, this lease may be renewed for up to two <br />additional five -year terms. <br />This lease is subject to the following terms and conditions: <br />1. Lessee shall pay the following rent: an annual rent equal to the assessed property taxes on the <br />former railroad right -of -way owned by Portsmouth within Suffolk as currently reflected by <br />Suffolk Real Estate Tax Account Number 053457200 and any other fees, taxes, licenses, levies <br />or any other charges that may become due or owing on the said property including without <br />limitation stormwater fees. Such rent shall be paid by the Lessee directly to the entity assessing <br />the applicable fee, tax, license, or levy on or prior to the due date of the assessment. Lessee shall <br />be solely responsible for payment, as additional rent, of any late fees or similar charges resulting <br />from Lessee's failure to make timely payment. <br />2. Lessee shall use the Leased Premises solely for a multi -use recreational trail. <br />
