Portsmouth will reimburse Norfolk a sum that represents Forty percent (40 %) of the Non - <br />Reimbursable Costs paid by Norfolk. <br />Fair market value shall be determined by an MAI appraiser satisfactory to both parties. <br />The parties agree that the goal is to acquire the minimum amount of property necessary to <br />effectuate the relocation of the water lines, but that based upon existing lot configurations it may <br />not be possible to achieve this goal in all cases. Norfolk shall have sole discretion to determine <br />the acreage and configuration of property to be acquired for each acquisition. Provided however, <br />that in the event that the excess acreage acquired is sufficient to create a developable parcel or <br />parcels of two (2) acres or more (excluding the areas where the water lines are relocated) which <br />could reasonably be anticipated to produce income to Norfolk through subsequent sale or lease, <br />the parties shall meet and confer to determine whether an equitable adjustment to Portsmouth's <br />Forty percent (40 %) contribution for the acquisition of that acreage is appropriate. <br />6. REIMBURSEMENT TO NORFOLK OF REAL ESTATE TAXES: <br />Portsmouth shall reimburse Norfolk for those real estate taxes paid by Norfolk to the City of <br />Suffolk that are attributable to that portion of Norfolk's property encompassed by Portsmouth's <br />thirty (30) foot easement. Such reimbursement shall be paid by Portsmouth within thirty (30) <br />days of receipt of a copy of the tax bill paid by Norfolk to the City of Suffolk. <br />7. DESIGN, PERMITTING AND CONSTRUCTION MANAGEMENT: <br />Norfolk currently has an engineering consultant under contract to provide engineering design, <br />permitting and construction administration services for projects of this type and pursuant thereto <br />Norfolk will direct the consultant to design Norfolk's NRWM and Portsmouth's NFWM. <br />The engineering consultant will prepare and submit layout drawings to Norfolk and <br />Portsmouth for the proposed construction of the two (2) water mains.
