sufficient parcels of property between Nansemond Parkway and Sportsman Boulevard in the <br />City of Suffolk to relocate both water mains; (3) procure the services of a qualified contractor to <br />acquire all necessary permits and construct the NRWM and the NFWM on the property to be <br />acquired by Norfolk; and (4) convey to Portsmouth an easement or similar property right <br />sufficient in size to accommodate Portsmouth's NFWM, in exchange for which Portsmouth will <br />compensate Norfolk as provided herein, the aforementioned item (1 -4) collectively referred to as <br />the "Project "; and <br />WHEREAS, both parties anticipate a Department of Rail and Public Transportation <br />grant ( "Rail Enhancement Fund Grant" or "REFG ") to fund 70% of the cost for the Project; <br />NOW, THEREFORE, in consideration of the mutual promises and covenants contained <br />herein, Norfolk and Portsmouth hereby agree as follows: <br />1. PROJECT AND GRANT MANAGEMENT: Norfolk agrees to manage the <br />Project and administer the Rail Enhancement Fund Grant, including preparing the documentation <br />required by the grant and submitting requests for reimbursement. In addition to paying its share <br />of the Non- Reimbursable Costs, as noted below, Portsmouth agrees that it will pay Norfolk One <br />Hundred Twenty -five Thousand and No /100 Dollars ($125,000.00) per year for project <br />management and grant administration, prorated over the regular billing cycle. Norfolk will bill <br />Portsmouth for the project management and the grant administration payments concurrently <br />with, but separate from the billing anticipated for the Project invoices that will be submitted for <br />grant reimbursement. Norfolk shall manage the project in full compliance with the Rail <br />Enhancement Fund Grant. <br />2. SHARING AND PAYMENT OF COSTS: It is estimated that the cost of the <br />Project will be approximately Nineteen Million Five Hundred Thousand and No /100 Dollars <br />3 <br />
