<br />and to otherwise implement said Agreement, including without limitation, the Housing <br /> <br /> <br />Authority's administrative costs and the funds needed for construction of the new Recreation <br /> <br /> <br />Center at Cradock Middle School, all to be done in a timely manner. The City shall hold the <br /> <br /> <br />Housing Authority harmless from any possible claim, demand, or liability, if any, arising prior to <br /> <br /> <br />conveyance of the Property, and also if the Housing Authority has complied with the terms of the <br /> <br /> <br />Development Agreement but is nevertheless the subject of legal action initiated by the <br /> <br /> <br />Developer. <br /> <br /> <br />8. Regulatory approvals. The City shall work in good faith to expedite all regulatory <br /> <br /> <br />approvals that are needed by the Housing Authority and/or the Developer in order to implement <br /> <br /> <br />the Development Agreement. <br /> <br /> <br />9. School Board approval. The Housing Authority's obligations under the <br /> <br /> <br />Development Agreement are conditioned on the Portsmouth School Board granting official <br /> <br /> <br />approval for the new Recreation Center, and the City's obligations hereunder are subject to the <br />same prior condition. <br /> <br /> <br />10. Status Reports. The Housing Authority shall keep the City Manager timely informed <br /> <br /> <br />of progress and status of development pursuant to the Development Agreement. <br /> <br /> <br />11. Good Faith Cooperation. The parties shall work together and cooperate in good <br /> <br />faith in every way for the purpose of successfully implementing the Development Agreement <br /> <br />and thereby benefitting the citizens of the City. <br />12. Complete Agreement. This instrument is the complete agreement between the <br /> <br />parties on the matters encompassed herein. It may be modified or amended only by writing <br /> <br />signed by authorized representatives of the parties. <br /> <br />-4- <br />
