<br />4. Early Demolition. The Development Agreement contemplates that the Developer <br /> <br />may request permission for early demolition of Cradock High School, prior to closing. As a <br /> <br />condition of granting permission, the Housing Authority shall require reasonable assurances <br /> <br />from the Developer for funding the Developer's share of constructing a new Recreation Center, <br /> <br />as contemplated by the Development Agreement, subject to the approval of the City Manager or <br /> <br />his designee. <br /> <br />5. Property Conveyance. The City shall convey the Property unto the Housing Authority <br /> <br />for no consideration other than the undertakings set forth in the Development Agreement. The <br /> <br /> <br />City shall have no obligation to convey the Property (or any portion thereof) unless it is satisfied <br /> <br /> <br />with the progress of the permitting process for the project, including without limitation the new <br /> <br /> <br />Recreation Center. <br /> <br /> <br />6. City Actions. The City shall cooperate with the Housing Authority in taking all <br /> <br /> <br />commercially reasonable steps to: (a) cause objectionable encroachments onto the Property to be <br /> <br /> <br />removed; (b) timely review any objections to title submitted by Developer and determine <br /> <br /> <br />whether to agree to make efforts to clear any said objection; (c) clear any title objection which <br /> <br /> <br />the City has agreed to attempt to clear; (d) timely review any request by Developer for <br /> <br /> <br />environmental remediation activities on the Property and detemlirie whether to agree to <br /> <br /> <br />undertake any said activities; (e) complete any remediation which the City has agreed to <br /> <br />perform; and (f) undertake and complete the City Tasks as set forth in Section 5 of the <br /> <br />Development Agreement. 7. City Financial Obligations. The City hereby obligates, <br /> <br /> <br />commits, and binds itself to disburse unto the Housing Authority all funds necessary for the <br /> <br /> <br />Housing Authority to honor its obligations to the Developer under the Development Agreement, <br /> <br />-3- <br />
