. Section 14.7 Staffing. The Manager shall, at all time, maintain and supervise a staff necessary for the proper and effective management of the Facility. Section 14.8 Year-Round Operation. The Manager shall make all commercially reasonable efforts to ensure the year-round operation of the Facility. Section 14.9 Operating Permits. The Manager shall procure any permits and licenses required for the business to be conducted by it under this Agreement. The Manager shall deliver copies of all permits and licenses to the Owner's Contract Administrator. ARTICLE 15 MISCELLANEOUS Section 15.1 Confidentiality. The Parties shall take all steps to comply with Virginia's Freedom ofInformation Act, Va. Code ~~ 2.2-3700 through 2.2-3714. Section 15.2 No Discrimination. Manager agrees that it will not discriminate against any employee or applicant for employment for work under this Agreement because of race, religion, color, sex, disability, national origin, physical handicap, or age, and will take affirmative steps to ensure that applicants are employed, and employees are treated during employment, without regard to race, religion, color, sex, disability, national origin, physical handicap, or age, all to the extent provided in applicable federal and state employment discrimination laws. . Section 15.3 Use of Facility Names and Logos. Manager shall have the right to use throughout the Term (and permit others to use in furtherance of Manager's obligations hereunder), without restriction and for no charge, the name and all logos of the Facility, on Manager's stationery, in its advertising of the Facility, and whenever conducting business ofthe Facility; provided, that Manager shall take all prudent and appropriate measures to protect the intellectual property rights of the Owner relating to such logos. All intellectual property rights in any Facility logos howsoever developed shall be and at all times remain the sole and exclusive property of the Owner. Manager agrees to execute any documentation requested by the Owner from time to time to establish, protect or convey any such intellectual property rights. Section 15.4 Facilitv Advertisements. Where such inclusion would be appropriate, the Owner agrees that advertisements placed by the Owner for the Facility or events at the Facility, whether such advertisements are in print, on radio, television, the internet or otherwise, shall include a designation that the Facility is an "Integrated Management Group managed facility" or such other designation as Manager may request from time to time. The Owner will, in appropriate cases, include reference to the Facility in its general tourism advertising, and agrees to work in good faith with the Manager on advertising for co-promoted events on a per-event basis for such events held under this Agreement. Section 15.5 Force Majeure. Except as otherwise provided herein, neither party shall be obligated to perform, and neither party shall be deemed to be in default of its performance of its 14 .
