<br />. <br /> <br />workers' compensation policy to be obtained by the parties hereunder shall contain a waiver of all rights <br />of subrogation against the other party. Owner and Manager shall require that all users of the Facility, <br />including without limitation licensees, ushers, security personnel and concessionaires, provide to the <br />Owner and to Manager certificates of insurance evidencing insurance appropriate for the types of <br />activities such user is engaged in. If Manager subcontracts any of its obligations under this Agreement, <br />Manager shall either: (a) cover all subcontractors under its policies of insurance, or (b) require each <br />subcontractor not so covered to secure insurance that will protect against applicable hazards or risks of <br />loss as and in the minimum amounts designated herein, and name Manager and the Owner as additional <br />insureds. <br /> <br />ARTICLE 14 <br />OPERATIONS STANDARDS <br /> <br />Section 14.1 General. The Manager will use its best efforts to maintain a high <br />standard of cleanliness, quality, and professionalism at the Facility. <br /> <br />Section 14.2 Concessions. All concessions operated by the Manager, or by others <br />under the Manager's license, shall be consistently operated in a neat, healthy, orderly, and courteous <br />manner, and with a high standard of quality. All food concessions shall meet all applicable health <br />regulations and shall provide a menu range commensurate with the events served. All alcohol sales <br />and operations shall be in strict compliance with applicable regulation of the Virginia Alcoholic <br />Beverage Control Department ("ABC") and the Manager shall cooperate fully with all reasonable <br />requests of ABC representatives to this end. All merchandise concessions shall sell only such <br />merchandise as is consistent with community standards of decency. <br /> <br />. <br /> <br />Section 14.3 Ticket Sales and Rentals. The Manager shall engage in courteous, <br />honest, and fair dealing with all patrons and users ofthe Facility with regard to Ticket Sales and <br />Rentals. <br /> <br />Section 14.4 Sound Control. The Manager shall control amplified sound from <br />performances or events at the Facility so as to comply with Portsmouth City Ordinance Section 24- <br />255, and any other applicable legal requirements. <br /> <br />Section 14.5 Crowd Control. The Manager shall use efforts consistent with <br />prevailing industry standards for operators of fist class facilities similar to the Facility to maintain <br />security to control all crowds and users ofthe Facility in order to guard against any disruptive, <br />destructive, disorderly, or illegal conduct, or any other conduct which reflects adversely on the <br />reputation of the Facility or the Owner. Notwithstanding the foregoing, Manager shall have no <br />obligation with respect to the control or conduct of crowds or patrons outside the Facility. <br /> <br />Section 14.6 Diversity of Programming. The Manager will, to the extent <br />reasonably feasible given industry and market conditions, provide a diverse mix of programming <br />appealing to as many segments of the regional entertainment market as possible. <br /> <br />. <br /> <br />13 <br /> <br />
