R-02-33 <br /> <br />A RESOLUTION AUTHORIZING AN AGREEMENT WITH THE CITY OF <br />SUFFOLK FOR THE SALE OF SLEEPY HOLE GOLF COURSE AND <br />CERTAIN WATER TRANSMISSION FACILITIES. <br /> <br />BE IT RESOLVED by the Council of the City of Portsmouth, Virginia, that: <br /> <br /> 1. The Interim City Manager be. and hereby is, authorized and directed to <br />execute and deliver to the City of Suffolk an agreement for the sale of Sleepy Hole Golf <br />Course and certain water transmission facilities (the "Agreement"). The Agreement shall <br />be substantially the same as that which is attached hereto, and made a part hereof. <br /> <br /> 2. The Interim City Manager is further authorized and directed to take all such <br />actions as are reasonably necessary to perform and to effect the intent of the Agreement, <br />including by way of example and without limitation, the execution and delivery of deeds, <br />bills of sale. and other legal documents, the conveyance of real and personal property, the <br />execution of releases and waivers, the protection of all applicable rights and interests of <br />the City and its citizens in this matter, and the granting of further assurances. <br /> <br /> 3. The City Attorney is authorized and directed to negotiate, draft, review, <br />modify, and prepare (as may be applicable) all deeds, bills of sale, closing statements, <br />lien waivers, releases, and other legal documents as may be necessary to effect the intent <br />of this Resolution. <br /> <br /> Adopted by the Council of the City of Portsmouth, Virginia, at a meeting held on <br />May 28, 2002. <br /> <br /> Teste: <br /> <br /> <br /> City Clerk <br /> <br /> <br />
