ratified and confirmed by the Council, and the City Manager is hereby authorized and directed ~o execute and deliver to the Escrow Agent the Escrow Deposit Ag reemen~ in substantially such form, together with such changes as shall be approved by the City Manager upon the advice of counsel (including Bond Counsel), such approval to be conclusively evidenced by his execution thereof. (b) The City Manager and the Assistant City Manager for Administration and Finance of the City, or either of them, are hereby authorized to execute, on behalf of the City, subscriptions for United States Treasury Obligations - State and Local Government Series, to be purchased by the Escrow Agent from moneys deposited in the 1987 Refunding Trust Fund created and established under the Escrow Deposit Agreement. Such United States Treasury Obligations - State and Local Gover~nent Series so purchased shall be held by the Escrow Agen~ under and in accordance with the provisions of the Escrow Deposit Agreement. (c)(i) If and 5o the extent the 1982 Refunded Public Utility Bonds are ~o be refunded and redeemed from the proceeds of the Bonds, the City Manager is hereby authorized 5o designate the 1982 Refunded Public Utility Bonds for redemption on December 1, 1992 in accordance with the provisions of the aforementioned resolutions authorizing the issuance of the 1982 Public Utility Bonds adopted by the Council on November 9, 1982 and November 23, 1982 and to take all such actions as he shall deem to be necessary or desirable to effect the redemption of the 1982 Refunded Public Utility Bonds on such date. (ii) If and to the extent the 1985 Refunded Public Utility Bonds are to be refunded and redeemed from the proceeds of the Bonds,.the City Manager is hereby authorized ~o designate the t985 Refunded Public Utility Bonds for redemption on November 1, 1995 in accordance with the provisions of the aforementioned resolutions authorizing the issuance of the 4985 Public Utility~ Bonds adopted by the Council on October 1, 1985 and October 29, 1985 and to take all such actions as he shall deem to be necessary or desirable to effect the redemption of the 1985 Refunded Public Utility Bonds on such date. 12. The action of the City Manager, the Assistant City Manager for Administration and Finance and other officials, employees, agents and attorneys of the City in negotiating the sale of the Bonds, and all actions and proceedings heretofore taken by the Council, the City Manager, the Assistan5 City Manager for Administration and Finance and the other cfficials, employees, agents and attorneys of the City in connection with the authorization, issuance and sale of the Bonds (including the p~eparation and distribution of the Preliminary Official Statement
