Grantee shall be deemed the grant of this Franchise for all <br /> purposes. In the event acceptance does not take place, <br /> this Franchise shall be null and void. <br /> <br /> B. With its acceptance, Grantee also shall deliver <br /> to the City a certified resolution of Grantee evidencing <br /> its power and authority to accept the Franchise. Such <br /> documents shall also describe the officer or officers <br /> authorized to accept on behalf of Grantee. <br /> <br /> C. With its acceptance, Grantee shall also pay all <br />costs and expenses incurred by the City an connection with <br />the preparation of this Franchise, not to exceed $10,000. <br />The City shall provide an itemized statement to Grantee <br />documenting costs and expenses incurred by the City. In <br />the even~ the maximum reimbursement has not been met, costs <br />or expenses of the City not identified at that time shall <br />be paid promptly by Grantee upon receipt of an itemizsd <br />statement from the City. <br /> <br /> D. With its acceptance, Grantee shall submit to the <br />City an opinion of counsel stating that, as of the <br />effective date of this Franchise: <br /> <br /> 1. The Grantee is a corporation, duly <br /> organized, validly existing, and in good standing <br /> under the laws of the State of Delaware; <br /> <br /> 2. The Grantee has the requisite power and <br /> authority under applicable law and its bylaws and <br /> articles of incorporation, is authorized by <br /> <br />-4g- <br /> <br /> <br />
