INDUCEMENT RESOLUTION WITH RESPECT TO THE PROPOSED ISSUANCE OF REVENUE BONDS BY THE INDUSTRIAL DEVELOPMENT AUTHORITY OF THE COUNTY OF HENRICO, VIRGINIA FOR BON ~ECOURS MEMBER HOSPITALS WHEREAS, St. Mary's Hospital of Richmond. Inc. ("St. Mary's Hospital"), with facilities located in Henrico Count... Virginia. Maryview Hospkal ("Maryv, iew Hospital"), with facilities located in the City of Pormmouth, Virginia. Bon Secours-Maryview Nursing Care Center ("Mar?~view Center" and. together with St. Mary's Hospital and Ma_ryview Hospital the "Institutions"), with facilities located in the City of Suffolk. Virginia are alt Vkpmia nonstock, nonprofit corporanons affiliated with Bon Secours Health System. Inc.. a nonprofit Maryland corporation ("Bon Secouzs"); and WHEREAS, the Industrial Development Authorky of the County of Henrico. Ygk~nia (the "Authority") has heretofore issued the various series of bonds described on Exhibit A hereto for the benefit of St. Mary's Hospital (the "St. Mary's Bonds"), the various series of bonds described on Exhibit B_ hereto for the benefit of Maryv~ iew Hospital (the "Maryview Hospital Bonds") and the series of bonds described on Exhibit C hereto for the benefit of M .aryview Center (the "Maryview Center Bonds" and. together with the St. Mary's Bonds and the Maryview HoSpital Bonds. the "Prior Bonds"): and WHEREAS, Bon Secours has requested that the Authority (I) issue ks revenue refunding bonds (the '~Refunding Bonds") to refund some or all of the Prior Bonds and (2) issue its revenue bonds (the "Improvement Bonds") to finance the cost of the construction and acquisirmn of certain capital improvements (the "Improvement Projects") rc be used ar the facilities of St. Mary's Hospital and Mary-Aew Hospital such other expenses as may be necessary or incident to such construction and acquisition, the financing thereof and the placing thereof in operation and such other costs and expenses related ~erero as are perrmtted under the Act (as hereinafter del'reed), all pursuant to a master financing plan for the health care facilities affiliated with Bon Secours: and WI-tEREAS. the Refunding Bonds and the Improvement Bonds (collectively, the "Series 1992 Bonds")'will be issued pursuant to the Vkgmia Industrial Development and Revenue Bond Act. Chapter 33. Title 15.1. Code of Vk~nia of 1950, as amended (the "Act"), and will be limited obligations of the Authoriv payable solely from the revenues and receipts derived fi:om payments by the Institutions and related entities: and WHEREAS. the Act empowers the Authority. to finance facilities within the boundaries of other industrial developmem authorities if the governing body of the cky, county or town
