all times observe all health and safety measures and precautions necessary for the sanitary and <br />safe performance of the Project. <br />29. AUDIT <br />The Developer shall retain all books, records, and other documents relative to this Project <br />for five (5) years after final payment. The City and its authorized agents may, at their option and <br />expense, audit the Developer's records related to the Project at any time during the term of the <br />Agreement or for a period of five (5) years thereafter. In such event, the Developer shall <br />cooperate with City's auditor and provide the documentation the auditor deems necessary in a <br />timely and organized manner and the Developer will be reasonably compensated for the costs <br />associated with the audit. Auditors from the City and the Commonwealth of Virginia shall have <br />full access to, and the right to examine, all such books, records, and other documents relative to <br />this Agreement during said period. Upon request from the City, all such documents shall be <br />turned over to the City. <br />30. ASSIGNMENT OF CONTRACT <br />Neither this Agreement nor the Developer's obligations under this Agreement may be <br />assigned, delegated or transferred without the City's prior written consent, which consent may be <br />withheld in the City's We discretion. <br />31. GOVERNMENTAL IMMUNITY <br />Nothing contained in the Agreement is intended to waive, or shall be construed as a <br />waiver of, the City's governmental immunity. <br />32. ENTIRE CONTRACT. AMENDMENT <br />This Agreement, including the exhibits hereto and the documents incorporated by <br />reference, constitutes the entire and integrated agreement between the Parties. No <br />representations, inducements, promises or agreements, oral or written, between the Parties not <br />embodied herein shall be of any force or effect. No amendment to the Agreement shall be <br />binding on any of the Parties unless such amendment is in writing and executed by the Parties. <br />W. <br />
