13.4. Force Majeure: Franchisee shall not be held in default under, or in <br />noncompliance with, the provisions of the Franchise, nor suffer any enforcement or penalty <br />relating to noncompliance or default, where such noncompliance or alleged defaults occurred or <br />were caused by a Force Majeure. <br />13.5. Notices: Unless otherwise expressly stated herein, notices required under <br />the Franchise shall be mailed first class, postage prepaid, to the addressees below. Each party <br />may change its designee by providing written notice to the other party. <br />Notices to Franchisee shall be mailed to: <br />Latanya Buggs <br />Regional President — Consumer & Mass Business Market <br />Verizon Virginia LLC <br />13101 Columbia Pike <br />Silver Spring, MD 20904 <br />with a non-binding courtesy copy to: <br />Tonya Rutherford <br />Senior Vice President & Deputy General Counsel <br />Verizon <br />1300 I Street NW <br />5th Floor <br />Washington DC 20005 <br />Notices to the LFA shall be mailed to: <br />City Manager <br />Attn: Verizon Franchise <br />801 Crawford St. <br />Portsmouth, VA 23704 <br />With a non-binding courtesy copy to: <br />City Attorney <br />Attn: Verizon Franchise <br />801 Crawford St. <br />Portsmouth, VA 23704 <br />13.6. Entire Agreement: This Franchise and the Exhibits hereto constitute the <br />entire agreement between Franchisee and the LFA, and it supersedes all prior or <br />contemporaneous agreements, representations or understanding (whether written or oral) of the <br />parties regarding the subject matter hereof. Any ordinances or parts of ordinances that conflict <br />with the provisions of this Agreement are superseded by this Agreement. <br />
