Docusign'Envelopd ID: 21C8916C-D962-408A-8F21-296OD56087D7 -_ I NDMENT 3 <br />AMENDED AND RESTATED <br />FY2026 AND FY2027 COMMUNITY SERVICES PERFORMANCE CONTRACT <br />MASTER AGREEMENT AND SUPPLEMENTAL DOCUMENTS <br />Portsmouth Department of Behavioral Healthcare Services <br />Contract No. P1636.778.3 <br />A. Subcontracts <br />The written subcontract shall, as applicable and at a minimum, state the activities to be performed, the time <br />schedule and duration, the policies, and requirements, including data reporting, applicable to the <br />subcontractor, the maximum amount of money for which the CSB may become obligated, and the manner <br />in which the subcontractor will be compensated, including payment time frames. Subcontracts shall not <br />contain provisions that require a subcontractor to make payments or contributions to the CSB as a condition <br />of doing business with the CSB. <br />B. Subcontractor Compliance <br />The CSB shall require that its subcontractors comply with the requirements of all applicable federal and <br />state statutes, regulations, policies, and reporting requirements that affect or are applicable to the services <br />included in this contract. The CSB shall require that its subcontractors submit to the CSB all required Data <br />Reporting Mechanism on individuals they served and services they delivered in the applicable format so <br />that the CSB can include this data in its Data Reporting Mechanism submissions to the Department. <br />1. The CSB shall require that any agency, organization, or person with which it intends to subcontract <br />services that are included in this contract is fully qualified and possesses and maintains current all <br />necessary licenses or certifications from the Department and other applicable regulatory entities before <br />it enters into the subcontract and places individuals in the subcontracted service. <br />2. The CSB shall require all subcontractors that provide services to individuals and are licensed by the <br />Department to maintain compliance with the Human Rights Regulations adopted by the State Board. <br />The CSB shall, to the greatest extent practicable, require all other subcontractors that provide services <br />purchased by the CSB for individuals and are not licensed by the Department to develop and <br />implement policies and procedures that comply with the CSR's human rights policies and procedures <br />or to allow the CSB to handle allegations of human rights violations on behalf of individuals served by <br />the CSB who are receiving services from such subcontractors. When it funds providers such as family <br />members, neighbors, individuals receiving services, or others to serve individuals, the CSB may <br />comply with these requirements on behalf of those providers, if both parties agree. <br />C. Subcontractor Dispute Resolution <br />The CSB shall include contract dispute resolution procedures in its contracts with subcontractors. <br />D. Quality Improvement Activities <br />The CSB shall, to the extent practicable, incorporate specific language in its subcontracts regarding the <br />quality improvement activities of subcontractors. Each vendor that subcontracts with the CSB should have <br />its own quality improvement system in place or participate in the CSB's quality improvement program. <br />13. Compliance with Laws <br />CSB shall comply with all applicable federal, state, and local laws and regulations to include, but not limited to, <br />those detailed below. If any laws or regulations that become effective after the execution date of this contract <br />substantially change the nature and conditions of this contract, they shall be binding upon the parties, but the <br />parties retain the right to exercise any remedies available to them by law or other provisions of this contract. <br />A. DATA PRIVACY <br />1. The Parties shall comply with the Health Insurance Portability and Accountability Act of 1996, Pub. L. <br />No. 104-191 (1996) and its accompanying standards found at 45 CFR 160, 162, and 164 (HIPAA), the <br />Virginia Health Records Privacy Act found at § 32.1-127.1:03 of the Code of Virginia, 42 CFR Part 2, <br />the 21st Century Cures Act, and the HITECH Act by their compliance dates, and where federal <br />Page 14 of 27 <br />
