Section 5.15 Survival. All representations and warranties contained in this Agreement shall <br />survive the Term. The Parties acknowledge that certain of the obligations to be performed under <br />this Agreement are to be performed after the Agreement terminates or expires. <br />Section 5.16 Modifications. Except as otherwise provided in this Agreement, (including any <br />Appendix and /or Exhibits to this Agreement), or applicable law, no provision of this Agreement <br />(nor any Appendix, and/or Exhibits to this Agreement), shall be amended or otherwise modified, <br />in whole or in part, except by an instrument, in writing, duly executed by Chesapeake and <br />Portsmouth, which amendment shall be authorized through the adoption of an appropriate <br />Agreement, ordinance, resolution, or order by both Parties, as required by applicable law. <br />
