8. Lessee shall cause this Lease or a Memorandum of Lease to be recorded in the Clerk's Office <br />of the Circuit Court for the City of Suffolk, Virginia. <br />9. This lease may not be assigned by Lessee without the prior written permission of the Lessor, <br />which permission may be granted or denied in Lessor's sole discretion. <br />10. This lease may be executed in counterparts. <br />11. This Lease shall be deemed to be a Virginia Lease and shall be governed as to all matters <br />whether of validity, interpretations, obligations, performance or otherwise exclusively by the <br />laws of the Commonwealth of Virginia, and all questions arising with respect thereto shall be <br />determined in accordance with such laws. Regardless of where actually delivered and accepted, <br />this Lease shall be deemed to have been delivered and accepted by the parties in the <br />Commonwealth of Virginia. Any and all disputes between the parties arising from this Lease <br />shall be heard in a court of competent jurisdiction in the City of Suffolk. Virginia. <br />12. There shall be no modifications or other amendments to this Lease unless done in writing and <br />executed by the parties hereto. <br />13. If any part, term, or provision of this Lease shall be found by a court of competent <br />jurisdiction to be legally invalid or unenforceable, then such provision or portion thereof, shall be <br />performed in accordance with applicable laws. The invalidity or unenforceability of any <br />provision or portion of the Agreement shall not affect the validity of any other provision or <br />portion of the Lease. <br />14. Any failure by either party to insist upon strict observance of any covenant in this Lease, <br />whether or not the other party has knowledge of the breach thereof, shall not be deemed a waiver <br />of the other party's right at any time during the term hereof to insist upon strict observance <br />during the remainder of the term. <br />{SIGNATURES ON FOLLOWING PAGES} <br />
