EXHIBIT A <br />COOPERATION AGREEMENT <br />for <br />PORT HOST COMMUNITIES REVITALIZATION FUND <br />(Project Power) <br />THIS COOPERATION AGREEMENT (the "Agreement ") is entered into as of the <br />day of , 2020 by and between CITY OF PORTSMOUTH, <br />VIRGINIA, a political subdivision of the Commonwealth of Virginia ( "City ") and <br />PORTSMOUTH PORT AND INDUSTRIAL COMMISSION, a political subdivision <br />of the Commonwealth of Virginia ( "PPIC "). <br />RECITALS <br />WHEREAS, the Virginia General Assembly has created a Port Host Communities <br />Revitalization Fund for the purpose of awarding grants to Port Host Communities for the <br />redevelopment of port - related properties to further economic development and <br />employment growth; and <br />WHEREAS, an application was submitted for a grant in support of the demolition <br />and revitalization of the former Cogentrix site (a/k/a Project Power); and <br />WHEREAS, the Virginia Department of Housing and Community Development <br />( "DHCD ") has awarded a grant in the amount of $500,000 to assist with the demolition <br />phase of Project Power (the "Grant'); and <br />WHEREAS, under the terms of the Grant program, it is anticipated that the Grant <br />funds will be disbursed by DHCD to the City and then held by the City until the <br />developer of the Cogentrix site, Industrial Realty Group (together with its affiliates, <br />"Industrial "), has completed the expenditures necessary to qualify for release of the Grant <br />funds; and <br />WHEREAS, once DHCD has authorized the City to release the Grant funds it is <br />anticipated that the funds will be transferred to PPIC and then to Industrial; <br />NOW, THEREFORE, it is AGREED by the parties to cooperate in the <br />administration of the Grant as follows: <br />AGREEMENT <br />1. The City and PPIC shall each execute [an] agreement[s] governing the <br />terms of the Grant in such form as DHCD shall reasonably require (the "Agreement ") <br />
