per occurrence providing coverage above the primary commercial <br />general liability, commercial automobile liability and employer's liability <br />insurance policies. <br />vi. Subsection 18.8 entitled "Evidence of Insurance" is amended to read in <br />its entirety as follows: <br />Evidence of Insurance. All insurance shall meet the following <br />requirements: <br />(a) The Grantee shall furnish the City a certificate or certificates of <br />insurance showing the type, limits required, effective dates and date of <br />expiration of the policies. <br />(b) Upon receipt of notice from its insurer(s) the Grantee shall <br />provide the City with thirty (30) days' prior written notice of cancellation of <br />any required coverage. <br />(c) The required certificate or certificates of insurance shall include <br />the City of Portsmouth, its officers, employees and volunteers as <br />additional insureds as their interest may appear under this Agreement on <br />the commercial general liability, commercial automobile liability and <br />umbrella liability insurance. <br />(d) Any insurance company providing coverage under this <br />Agreement must be authorized to do business in the Commonwealth of <br />Virginia. <br />3. Ratification. Grantee and City hereby ratify and affirm the Franchise Agreement <br />as modified by this Rider, and confirm that Franchise Agreement, as modified by this Rider, is a <br />subsisting obligation that remains in full force and effect. <br />4. Successors and Assigns. This Rider shall inure to the benefit of and be binding <br />upon the parties hereto and their respective successors and assigns. <br />5. Governing Law. This Rider shall be governed by and construed and enforced in <br />accordance with the laws of the Commonwealth of Virginia. This Rider is executed under seal. <br />6. Counterparts. This Rider may be executed in counterparts or with the use of <br />counterpart signature pages, and all such counterparts, taken together, shall constitute a single <br />instrument. <br />[Signatures Begin on Following Page] <br />-14- <br />
