Pedro "Peter" Wallace, Chief Information Officer <br />2401 Courthouse Drive <br />Virginia Beach, Virginia 23456 <br />The terms of office of the initial members of the board of directors of the <br />Authority shall begin on the date of the issuance of a certificate of <br />incorporation or charter for the Authority by the State Corporation <br />Commission. <br />Each voting member of the board of directors shall have one equal vote in <br />all matters before the board of directors. In the event of the absence or <br />recusal pursuant to law of a voting member, but not in the event of his or <br />her mere abstention from a vote, the alternate member appointed by that <br />locality shall be entitled to vote in his or her stead. <br />ARTICLE VI <br />PURPOSE <br />The purpose of the Authority is to provide or assist in the provision of <br />qualifying communication services as defined in Article 5.1 (§ 56- 484.7:1 <br />et sect.) of Chapter 15 of Title 56 of the 1950 Code of Virginia, as amended, <br />and to provide such other services as provided by law and Chapter 54.1 of <br />Title 15.2 of the Code of Virginia, 1950, as amended. <br />ARTICLE VII <br />POWERS <br />The Authority shall have all of the powers set forth within Virginia Code § <br />15.2-5431.11, and any other powers set forth within the Act. The <br />Authority's powers under the Act shall be liberally construed to effect the <br />purposes of the Act. <br />The board of directors may appoint such committees and employees as it <br />may from time to time deem convenient, including an executive director or <br />chief executive officer and project committees, and delegate to them such <br />corporate powers on behalf of the Authority as may be permitted by law. <br />ARTICLE VIII <br />DISSOLUTION <br />The Authority may be dissolved in the manner set forth in Virginia Code § <br />15.2 - 5431.9 upon a resolution by the board of directors finding that the <br />purposes for which it was created have been completed or are impractical <br />or impossible and that all of its obligations have been paid or have been <br />assumed by one or more of the member localities or any authority created <br />
