N. State. The term "State" means the Commonwealth of Virginia. <br />0. Trust Fund. The term "Trust Fund" means the Virginia Pooled OPEB Trust Fund, <br />comprised of all of the assets set aside hereunder for the purpose of accumulating and investing <br />assets to fund Other Post - Employment Benefits. <br />P. Trust Joinder Agreement. The term "Trust Joinder Agreement" means the <br />agreement, in the form attached hereto as Exhibit A, pursuant to which the Local Finance Board <br />joins in the Trust Fund, as the trustee of such Participating Employer, and agrees to be bound by <br />the terms and conditions of the Virginia Pooled OPEB Trust Fund Agreement, as provided in <br />Section 301 hereof. <br />Q. Trustees. The term "Trustees" means the individuals who serve on the Board of <br />Trustees of the Trust Fund pursuant to Section 106 hereof and their successors. <br />R. Virginia Code. The term "Virginia Code" means the laws embraced in the titles, <br />chapters, articles and sections designated and cited as the "Code of Virginia," under the laws of <br />the State. <br />Section 102. GENERAL DUTIES AND MEETINGS OF THE BOARD OF TRUSTEES. <br />A. General Duties. The Board of Trustees and each Investment Manager appointed <br />pursuant to this Agreement shall discharge their respective duties under this Agreement solely in <br />the interest of Employees and Beneficiaries of the Participating Employers and: (i) except as <br />otherwise provided by any applicable provision of any statute, regulation, ordinance, or <br />resolution, for the exclusive purpose of providing Other Post- Employment Benefits to <br />Employees and Beneficiaries of Participating Employers and defraying the reasonable expenses <br />of administering the Trust Fund; (ii) with the care, skill, prudence and diligence under the <br />circumstances then prevailing that a prudent person acting in a like capacity and familiar with <br />such matters would use in the conduct of an enterprise of like character and with the same aims; <br />and (iii) by diversifying the investments of the Trust Fund so as to minimize the risk of large <br />losses unless under the circumstances, it is clearly prudent not to do so. However, the duties and <br />obligations of the Board of Trustees and each Investment Manager, respectively, as such, shall <br />be limited to those expressly imposed upon them, respectively, by this Agreement <br />notwithstanding any reference herein to the Plans. The Board of Trustees shall administer the <br />Trust Fund in compliance with Code Section 503(b). <br />1. Authority of the Trustees. The Trustees shall have the power and <br />authority and shall be charged with the duty of general supervision and operation of the <br />Trust Fund, and shall conduct the business and activities of the Trust Fund in accordance <br />with this Agreement, the Trust Joinder Agreements, bylaws, rules and regulations <br />adopted by the Board of Trustees and applicable law. <br />2. Trustees' Liabilities. No Trustee shall be liable for any action taken <br />pursuant to this Agreement in good faith or for an omission except bad faith or gross <br />As amended December 7, 2012 <br />
