EXHIBIT A <br />COOPERATION AGREEMENT <br />for <br />3215 ACADEMY AVENUE <br />THIS COOPERATION AGREEMENT (the "Agreement ") is entered into as of the <br />day of , 2017 by and between CITY OF PORTSMOUTH, <br />VIRGINIA, a political subdivision of the Commonwealth of Virginia ( "City ") and <br />ECONOMIC DEVELOPMENT AUTHORITY OF THE CITY OF <br />PORTSMOUTH, VIRGINIA, a political subdivision of the Commonwealth of Virginia <br />( "EDA "). <br />RECITALS <br />WHEREAS, by request of the City Manager, EDA has marketed the property <br />known as the former Churchland library, having a current street address of 3215 <br />Academy Avenue (Tax Parcel 0818 -0040) (the "Property "); and <br />WHEREAS, EDA has received an offer from <br />( "Developer ") to purchase the Property, perform a substantial rehabilitation, and utilize <br />the Property as a corporate office and training facility (the substantial rehabilitation and <br />use of the Property are collectively the "Development "); and <br />WHEREAS, by Resolution R -17- adopted June 27, 2017, City Council <br />authorized the conveyance of the Property to EDA and the execution of this Agreement; <br />and <br />WHEREAS, the City hereby finds and determines that redevelopment of the <br />Property is in the public interest; <br />NOW, THEREFORE, it is AGREED by the parties to cooperate in the <br />conveyance and redevelopment of the Property as follows: <br />AGREEMENT <br />The City shall convey the Property to EDA. <br />2. EDA shall enter into an agreement (the "Sale Agreement ") containing <br />acceptable terms and conditions for the conveyance of the Property to Developer (or an <br />entity controlled by Developer or a principal of Developer) for performance of the <br />Development, and shall take such further actions as are necessary or desirable in <br />accordance with the Sale Agreement, including closing on conveyance of the Property. <br />3. In the event EDA does not convey the Property to the Developer, then <br />EDA shall continue to market the Property for sale, provided that EDA shall obtain the <br />
