<br />DRAFT <br /> <br />Exhibit A <br /> <br />COOPERATION AGREEMENT <br />for <br />EFFINGHAM STREET PROPERTIES <br /> <br />THIS COOPERATION AGREEMENT (the "Cooperation Agreement") is entered into <br /> <br />as of the _ day of <br /> <br />, 2013, by and between THE CITY OF PORTSMOUTH, <br /> <br />VIRGINIA, a political subdivision of the Commonwealth of Virginia (the "City") and the <br /> <br />ECONOMIC DEVELOPMENT AUTHORITY OF THE CITY OF PORTSMOUTH, a <br /> <br />political subdivision of the Commonwealth of Virginia (the "EDA"), provides as follows: <br /> <br />RECITALS <br /> <br />WHEREAS, the land adjacent to Fire Station No. 1 along Effingham Street, being <br /> <br />comprised of properties bounded generally by Fire Station No. 1 to the north, Effingham Street, <br /> <br />Green Street and Lincoln Street, with the individual street addresses of 1701, 1705, 1725, 1801 <br /> <br />and 1807 Effingham Street; 709, 715, 717, 718,720 Henry Street; 1720, 1724, 1728, 1800, 1810 <br /> <br />Green Street; and 700, 706, 708, 716, 730 Lincoln Street (collectively, "the Property") and <br /> <br />containing approximately 3.935 acres, is presently vacant and undeveloped, and <br /> <br />WHEREAS, the City has determined that it is in the public interest to have the Property <br /> <br />developed for retail use in a way that complements and protects community quality; and <br /> <br />WHEREAS, the City hereby finds and determines that development of the Property is in <br /> <br />the public interest; <br /> <br />NOW, THEREFORE, it is AGREED by the parties to cooperate in the development of <br /> <br />the Property as follows: <br /> <br />1 <br />
