<br />C, The City will fully cooperate in assisting Developer obtain any and all incentives for <br />the development and payment of all public infrastructure located within the Project. The <br />infrastructure may be phased so as to coincide with development of the Project. <br />5, Structured Parking. The parties recognize that the Project will require structured <br />parking, phased as development proceeds, and that it will be a major capital cost. The Developer <br />will use best efforts to pursue all revenue sources that will minimize the need for City financial <br />participation. The Developer recognizes that the City's ability to participate in the cost of <br />structured parking will be limited by compliance with its debt policy and debt capacity, as they <br />may be affected by the overall costs and revenues of the Project. The financial arrangements for <br />structured parking will be specifically set forth in the Development Agreement, which will be <br />subject to the approval by Portsmouth City Council. <br />6. Public Interest Finding. The authorization of this instrument by City Council, <br />pursuant to Resolution No R-lO-**, adopted April 27, 2010, comprises a preliminary legislative <br />finding that Portsmouth City Center, if developed in the manner set forth herein, will be in the <br />public interest. <br /> <br />[Signatures on following page] <br /> <br />-3- <br />
