City continues paying the Availability Charge until the date the Initial Payment as per <br />93.4.1. 92.2 <br />2. The Revised Agreement is executed. This is the "Effective Date." 9 1.14 <br />3. Promptly after the Effective Date, Seller (acting through Seller's Architect) commences <br />preparation of those Design and Construction Documents that have not already been <br />completed by Seller's Architect. <br />4. Within thirty-seven days of the Effective Date, Seller completes Schematic Design <br />Documents. 94.1.1 <br />5. City reviews Schematic Design Documents, including consultation with Court Officials. <br />City has fifteen days from receipt of the Schematic Design Documents to approve. 94.1.1 <br />(up to fifty-two days total from Effective Date to final approval of Schematic Design <br />Documents.) <br />6. Within two business days of City approval of Schematic Design Documents, City makes <br />Initial Payment of $5,000,000 to Seller (adjusted by amounts paid by City to Seller's <br />Architect). (The "Initial Payment") 93.4.1. <br />7. On the date of the Initial Payment, the City grants to Seller a security interest in City Hall <br />and the City Hall Parking Deck. 98.1. <br />8. Seller completes Design Development Documents within ninety days of final approval of <br />Schematic Design Documents. 94.1.2. <br />9. City reviews Design Development Documents, including consultation with Court Officials. <br />City has fifteen days from receipt of Design Development Documents to approve. 94.1.2. <br />(up to 157 days from Effective Date to final approval of Design Development Documents). <br />10. Seller completes Construction Documents within one hundred eighty days of final approval <br />of Design Development Documents. 94.1.3. <br />11. City reviews Construction Documents, including consultation with Court Officials. City <br />has fifteen days from receipt of Construction Documents to approve. 94.1.3. (up to three <br />hundred fifty-two days total from Effective Date to approval of Construction Documents.) <br />12. Within three business days of approval of the Construction Documents, Seller provides the <br />Final Development Fee and the Final Management Fee to City. 94.1.5 <br />13. On or prior to February 1,2010, City makes $3,000,000 payment to Seller (the "Second <br />Payment"). 93.4.2. <br />14. On or prior to July 15,2010, City makes $25,000,000 payment to Seller (the "BAN I <br />Payment"). 93.4.3. <br />15. On or prior to February 1,2011, City makes $3,000,000 payment to Seller (the "Third <br />Payment"). 93.4.4. <br />16. On or prior to July 15,2011, City makes $25,000,000 payment to Seller (the "BAN II <br />Payment"). 93.4.5. <br />17. Within twenty-four months of the City's final approval of the Construction Documents, <br />construction is complete, and the courthouse is ready for occupancy. 94.1.5. <br />18.
