<br />all entrance doors to, and equipment and utility rooms located in, the Property; <br /> <br />5.2.6 To the extent in Seller's possession and not already located at the Property, originals <br />and/or copies of all Licenses; <br /> <br />5.2.7 To the extent in Seller's possession, executed counterparts of all warranties in <br />connection therewith which are in effect on the closing date and which are being assigned <br />by Seller; <br /> <br />5.2.8 A "FIRPTA" affidavit attesting to facts pertaining to Seller's name, address, tax <br />identification number and non-foreign status as required by Section 1445 of the Internal <br />Revenue Code and regulations; <br /> <br />5.2.9 An affidavit reasonably sufficient in form and content to cause the Title Company to <br />delete the standard printed exceptions from the title policy stating that there have been no <br />improvements to the Property by or at the direction of Seller for the requisite period <br />immediately preceding the Closing Date (other than work done by or on behalf of the City) <br />or, ifthere have been any such improvements by or at the direction of Seller (other than <br />work done by or on behalf of the City), that alllienors in connection with said <br />improvements have been or will be paid in full when due; that there are no persons or <br />entities in possession of all or any portion of the Property except Seller and any tenants in <br />possession pursuant to recorded or unrecorded leases; and that there are no unrecorded <br />easements or agreements known to Seller affecting title to or relating to thee Property, except <br />as otherwise set forth in the affidavit; <br /> <br />5.2.10 A closing statement, signed by Seller, reflecting all credits, prorations, <br />apportionments and adjustments contemplated hereunder; <br /> <br />5.2.11 All other documents Seller are required to deliver pursuant to the provisions of this <br />Agreement or pursuant to normal and customary Virginia real estate practices to <br />consummate the transactions contemplated herein. <br /> <br />5.3 The City's Documents. At or prior to Closing, the City shall deliver the following items to <br />the Seller: <br /> <br />5.3.1 A copy of the resolutions of the Portsmouth City Council authorizing the execution, <br />delivery and performance of this Agreement by the City and the consummation of the <br />transactions contemplated hereunder; <br /> <br />5.3.2 A copy of the final order or decree issued by a court of competent jurisdiction in the <br />Court Case that expressly or by implication authorizes the City to enter into and perform all <br />matters set forth in this instrument; <br /> <br />-13- <br /> <br />Draft #4.1 <br />
