<br />6.4 Reporting. The City may request that Grantee provide reasonable reports <br />regarding annual financial information and quarterly customer service information in <br />order to verify Grantee's compliance with the terms of this Franchise. <br /> <br />SECTION 7 - Transfer or Chan2e of Control of Cable System or Franchise <br /> <br />7.1 No Transfer of this Franchise shall occur without the prior written consent <br />of the City, which consent shall not be unreasonably withheld, delayed or conditioned. <br />No Transfer shall be made to a Person, group of Persons or Affiliate that is not legally, <br />technically and financially qualified to operate the Cable System and satisfy the <br />obligations hereunder. <br /> <br />SECTION 8 - Insurance and Indemnitv <br /> <br />8.1 Insurance. Throughout the term of this Franchise, the Grantee shall, at its <br />own cost and expense, maintain Comprehensive General Liability Insurance and proVIde <br />the City certificates of insurance designating the City and its officers, boards, <br />commissions, councils, elected officials, agents and employees as additional insureds and <br />demonstrating that the Grantee has obtained the insurance required in this Section. Such <br />policy or policies shall be in the minimum amollnt of One Million Dollars <br />($1,000,000.00) for bodily injury or death to anyone Person, and One Million Dollars <br />($2,000,000.00) for bodily injury or death of any two or more persons resulting from one <br />')ccum~nce, and One Million Dollars ($1,000,000.00) for propeIiy damage resultingfrum <br />anyone accident. Such policy or policies shall be non-cancelable except upon thirty{30) <br />d:l)'s prior written notice to the City. The Grantee shall provide workers' compensation <br />coverage in accordance with applicable law. The Grantee shall indemnify and hold <br />harmless the City from any workers compensation claims to which the Grantee may <br />become subject during the term of this Franchise. <br /> <br />8.2 Indemnification. The Grantee shall indemnify, defend and hold harmless <br />the City, its officers, employees, and agents from and against any liability or claims <br />resulting from the Grantee's construction, operation, maintenance or removal of the <br />Cable System, including, but not limited to, reasonable attorneys' fees and costs, <br />provided that the City shall give the Grantee written notice of its obligation to indemnify <br />and defend the City within twenty (20) business days of receipt of a claim or action <br />pursuant to this Section. If the City determines that it is necessary for it to employ <br />separate counsel, the costs for such separate counsel shall be the responsibility of the <br />City. <br /> <br />This indemnity does not apply to programming carried on the PEG Channels or to <br />operations of the PEG Channels to the extent sllch operations are carried out by a person <br />other than the Franchisee or its agents. Further, the Franchisee shall not be required to <br />indemnify the City for: I) acts of the City which constitute willful misconduct or gross <br />negligence, on the part of the City, its officers, employees, agents, attorneys, consultants, <br />or independent contractors; , or 2) for any information communicated on, or use of, the <br />EAS by any Person other than Franchisee.
