action as they deem necessary or appropriate regarding the issuance and sale of the Bonds and the BAN, including, without limitation, the preparation, execution, and delivery of any instruments, certificates, agreements, and other documents related to the purchase of municipal bond insurance or other credit enhancement for any series of the Bonds if market or other conditions so warrant, the investment of the proceeds of any series of the Bonds or the BAN, the application for CUSIP identification numbers, the execution and delivery of Replacement Bonds, the acquisition of qualified defeasance securities (either on the open market or directly from the United States Treasury) in connection with a refunding of the BAN, and the selection of one or more verification agents in connection with a refunding of the BAN. All actions taken by officers and agents of the City in connection with the issuance and sale of the Bonds are hereby ratified and confirmed. 17. Reimbursement Declaration. The City has made and expects to make out of temporary funds certain expenditures in connection with the projects financed or refinanced by the Bonds and the BAN for which the City reasonably expects to be reimbursed from the proceeds of the Bonds and the BAN, as applicable, as permitted by Treasury Regulation Section 1.150-2 issued pursuant to the Code. The maximum aggregate principal amount of the Bonds is expected to be the maximum aggregate principal amount set forth in paragraph 1 of this Ordinance, and the maximum principal amount of the BAN is expected to be the maximum principal amount set forth in paragraph 15 of this Ordinance. 18. Filing of Ordinance. The appropriate officers or agents of the City are authorized and directed to file or cause to be filed a certified copy of this Ordinance with the Circuit Court of the City of Portsmouth, Virginia, pursuant to Sections 15.2-2607 and 15.2-2627 of the Code of Virginia, as amended. -10-
