th~ City shall cxccute and deliver Replacement Bonds substantially in the form set forth in Exhi bit A, B or C, as applicable, attached hereto. Principal of and interest on the Replacement Sc1l1ds shall be payable as provided in this Ordinance and in the Bonds or Notes, as appropriate, and su~h Rcplacement Bonds will be transferable in accordance with the provisions of paragraphs 9 and 10 of this Ordinance and the Bonds or Notes, as appropriate. 6. Appointment of Registrar and Paving Agent. The Chief Financial Officer is authorized and directed to appoint a Registrar and Paying Agent for the Bonds and the Notes and as long as the Bonds or the Notes, as appropriate, are in book entry form such Registrar and Paying Agent may be the Chief Financial Officer. The City Council may appoint a subsequent registrar and/or one or more paying agents Cor the Bonds or the Notes by subsequent resolution and upon giving written notice to the owners elf thc Bonds or the Notes, as appropriate, specifying the name and location of the principal onIce of any such registrar or paying agent. 7. Execution of Bonds and Notes. The City Manager and the Clerk of the City are authorized and directed to execute appropriate negotiable Bonds and Notes and to affix the seal of the City thereto and to deliver the Bonds and the Notes, as appropriate, to the purchaser thereof upon payment of the purchase price. The manner of execution and affixation of the seal may be by facsimile, provided, however, that if the signatures of the City Manager and the Clerk arc both by Cacsimile, the Bonds or the Notes, as appropriate, shall not be valid until signcd at the Iclut thcreof by the manual signature of the Registrar. 8. CUSIP Numbers. The Bonds and the Notes shall have CUSIP identification numbers printed thereon. No such number shall constitute a part of the contract evidenced by the l3emd or the Note, as appropriate, on which it is imprinted and no liability shall attach to the City. -8-
