<br />any series or the Bonds or Notes, thc application for CUSIP idcntitication numbers and the <br /> <br />exec utiun and delivery of replacement bonds in connection with any partial refunding of Prior <br /> <br />l3onds. and the sclection of one or more verification agents in connection with any series of <br /> <br />RcCunding Bunds. All actions taken by ofticers and agents of the City in connection with the <br /> <br />issuancc and sale of the Bonds and the Notes are hereby ratified and confirmed. The City <br /> <br />Manager and the Chief Financial Officer and such ofticers and agents of the City as either of <br /> <br />them may dcsignate are authorized and directed to take such further action and to execute and <br /> <br />dcliver such additional agreements, documents and certificates as they deem necessary regarding <br /> <br />the Bonds and the Notes and all actions taken by such ofticers and agents in connection with the <br /> <br />Bonds and the Notes are ratified and confirmed. <br /> <br />17. Reimbursement Declaration. The City has made and expects to make out of <br /> <br />\cmpurary funds ccrtain expenditures in connection with the projects financed by the Bonds and <br /> <br />the Notes, as applicable, for which the City reasonably expects to be reimbursed as permitted by <br /> <br />Treasury Rcgulation Section 1.150-2 issued pursuant to the Code, from the proceeds of the <br /> <br />Bonds and the Notes. as applicable. The maximum principal amount of the Bonds and the Notes <br /> <br />are expected to be the respective maximum amounts set forth in paragraph I. <br /> <br />18. Filing of Ordinance. The appropriate officers or agents of the City are authorized <br /> <br />and dirccted to tile or causc to be filed a certitied copy of this Ordinance with the Circuit Court <br /> <br />ur the City ur Portsmouth pursuant to Sections 15.2-2607 and 15.2-2627 of the Code of Virginia, <br /> <br />as am~ll(kd. <br /> <br />-13- <br />
