<br />C~rt ilicatc and Tax Covenants and that the City will comply with the other covenants and <br /> <br />repr..:sentati'llls contained therein. <br /> <br />13. Disclosure Documents. The City Manager and the Chief Financial Officer. or <br /> <br />~ither of them. and such officers and agents of the City as either of them may designate are <br /> <br />hcreby authorized and directed to prepare, execute, if required, and deliver appropriate notice(s) <br /> <br />of sale. preliminary official statement, ofticial statement or such other otTering or disclosure <br /> <br />doc t1ments as may be necessary to expedite the sale of the Bonds and the Notes. The notice(s) of <br /> <br />sale, preliminary otticial statement, ofticial statement or other documents shall be published in <br /> <br />suc h publications and distributed in such manner, including electronically, and at such times as <br /> <br />the Chief Financial Officer shall determine. The preliminary official statement with respect to <br /> <br />the 13'lnds and the Notes is approved in substantially the form on tile with the Chief Financial <br /> <br />Olticer. The Chief Financial Ottieer is authorized and directed to deem the preliminary official <br /> <br />statement with respect to the Bonds and the Notes "final" for purposes of Securities and <br /> <br />Exchange Commission Rule 15e2-12. <br /> <br />14. Continuing Disclosure. The City Manager and the Chief Financial Officer, or <br /> <br />either of them, are authorized and directed to enter into a Continuing Disclosure Agreement for <br /> <br />the benctit of the owners of the Bonds and the Notes to assist the underwriter(s) for the Bonds <br /> <br />and the Notes in complying with the provisions of Section (b)(5) of Securities and Exchange <br />COl11mission Rule 15e2-12. <br /> <br />\ 5. Authorization of Bond Anticipation Notes. The City Manager, in consultation <br /> <br />with the Chi~f Financial OlIicer. without further approval of the City Council as to <br /> <br />documentation or otherwise, may execute. deliver and issue short-term notes of the City <br /> <br />-11- <br />
