""" ~~ . . . redemption of the Prior Bonds, including, without limitation, the preparation, execution and delivery of any agreement relative to the tax-exempt status of the Bonds and the use of the proceeds thereof and other instruments, agreements and documents related to the issuance and sale of any series of the Bonds, the purchase of municipal bond insurance or other credit enhancement for any series of the Bonds if market or other conditions so warrant, and the acquisition of qualified defeasance securities (either on the open market or directly from the United States Treasury), forward purchase or supply arrangements relating to the investment of the proceeds of any series of the Bonds, the application for CUSIP identification numbers and the execution and delivery of replacement bonds in connection with any partial refunding of Prior Bonds, and the selection of one or more verification agents in connection with any series of Refunding Bonds. All actions taken by officers and agents of the City in connection with the issuance and sale of the Bonds are hereby ratified and confirmed. The City Manager and the Chief Financial Officer and such officers and agents of the City as either of them may designate are authorized and directed to take such further action and to execute and deliver such additional agreements, documents and certificates as they deem necessary regarding the Bonds and all actions taken by such officers and agents in connection with the Bonds are ratified and confirmed. 17. Filing of Ordinance. The appropriate officers or agents of the City are authorized and directed to file or cause to be filed a certified copy of this Ordinance with the Circuit Court of the City of Portsmouth pursuant to Sections 15.2-2607 and 15.2-2627 of the Code of Virginia, as amended.
