The Owner shall be entitled to receive and retain its <br />standard share of the revenues, if any, generated from corporate sponsorships, concessions and <br />merchandise in connection with events held pursuant to such section, after paying the expenses required <br />by this subsection, The Owner will not interfere with and will respect any restrictions contained both in <br />"naming rights" arrangements and corporate sponsorship arrangements contracted by Manager in <br />furtherance of this Agreement. Notwithstanding the foregoing, any share of revenues received by <br />concessionaires, merchandises seller, or generated by corporate sponsorships during such events which <br />are payable to Manager pursuant to separate agreements with such parties shall be paid to and retained <br />solely by Manager. To the extent Manager may elect to inform Owner of third party arrangements and <br />provide copies of those agreements on request, the Owner shall abide by (but shall not assume or <br />otherwise become obligated to any third party in respect of) the exclusive rights and other provisions <br />contained in such agreements. <br /> <br />(c) The Owner's use of the Facility shall not compete with, nor conflict with, <br />events booked by Manager, Further, notwithstanding the foregoing, the Owner may not use the Facility, <br />or otherwise engage any act or performer (whether at the Facility or otherwise), or participate in the <br />development or operation of another venue (whether financially or otherwise), or assist another party in <br />connection with the foregoing, in any manner which competes with the business of the Facility. <br /> <br />. <br /> <br />(d) At Owner's request, certain portions of the Facility, to be agreed upon by <br />Owner and Manager, shall remain open and accessible to the public for use and enjoyment as a park, <br />lunch area, or other lawful public purposes (collectively the "Public Use"), Owner expressly assumes all <br />risk, liability, and obligations with respect to the Public Use, Manager shall have no obligations with <br />respect to the Public Use, including without limitation as to insurance, security, or maintenance, The <br />Pub Iic Use shall not interfere with, impair, or hinder Manager in the performance of its services under this <br />Agreement. <br /> <br />Section 4.5 Right of Entry. The Owner's Contract Administrator (as identified <br />pursuant to Section 1 J .1) shall have the right to enter all portions of the Facility to inspect same and to <br />observe the Manager's performance of its obligations under this Agreement. Such Contract Administrator <br />shall exercise this right with minimum disruption to the Manager. <br /> <br />Section 4,6 Parking. The Owner shall insure that the Facility's parking areas as <br />shown on Exhibit C are made available to Manager for its operation during the Term hereof. Further, <br />Owner shall insure that adequate parking is provided for the operation of the Facility, as it may from time <br />to time designate, south of High Street. Adequate parking shall be no less than 2200 public and employee <br />parking spaces (not including the "VIP Lot," as designated on the site plan attached as Exhibit C) within <br />a 1,500 foot radius of the Facility. The general parking areas shall be available to the Manager and event <br />attendees on the day of each event at the Facility (6:00 p.m, and after on Monday through Friday and all <br />day on Saturday, Sunday, and City holidays). Staffing for all parking facilities other than the VIP Lot <br />shall be provided by the Owner. Owner may meet its parking obligations through actions of the <br />Portsmouth Parking Authority, a political subdivision of the Commonwealth of Virginia, but such <br />parking shall be reasonably convenient to the Facility, Further, Owner shall make the VIP Lot available <br />to Manager in whole or in part at no charge whenever needed by Manager for the operation of the <br /> <br />. <br /> <br />6 <br /> <br />
