Exhibit A <br /> FORM OF NOTE <br /> <br /> UNITED STATES OF AMERICA <br /> COMMON3VEALTH OF VIRGINIA <br /> <br />No. R- CITY OF PORTSMOUTH <br /> <br /> GENERAL OBLIGATION NOTE <br /> SERIES 2004 <br /> (TAXABLE) <br /> <br /> CITY OF PORTSMOUTH, VIRGINIA ("City"), for value received, acknowledges itself <br /> <br />indebted and promises to pay to , as registered owner of this Note or legal <br /> <br />representative, the principal amount of TWO MILLION FIVE HUNDRED AND THIRTY <br />THOUSAND Dollars ($2,530,000) and to pay ~nterest on the principal amount of this Note at the <br />annual rate of %. Principal of and interest on this Note shall be paid in the amounts and on the <br />dates set forth on Schedule I attached to this Note. Both principal of and interest on this Note a~e <br />payable in lawful money of the United States of America. The principal of and interest on this <br />Note are payable by check or by wire transfer mailed or sent to the registered owner hereof <br />without presentation and surrender except for the final payment of principal and interest w~ch <br />shall be payable upon presentation and surrender hereof at the office of the Chief Financial <br />Officer of the City, as Note Registrar. <br /> <br /> This Note has been duly authorized by the City Council and is issued for the purpose of <br />providing funds to pay the costs, in whole or in part, of the acquisition, construction and <br />eqmpping of the replacement canopy for the NTELOS Pavilion at Harbor Center and to pay <br />costs of issuance. The full faith and credit of the City are irrevocably pledged for the payment of <br />the principal of and premium, if any, and interest on this Note in accordance with its terms. <br /> <br />-4- <br /> <br /> <br />
