EXHIBIT A UNITED STATES OF AMERICA COMMONWEALTH OF VIRGINIA No. N-1 CITY OF PORTSMOUTH [LINE OF CREDIT] REVENUE ANTICIPATION NOTE, SERIES 2002 CITY OF PORTSMOUTH, VIRGINIA ("City"), for value received, acknowledges itself indebted and promises to pay to _____________, ___________, (the "_______") as the registered owner of this Note, its successors or assigns, the principal amount of TEN MILLION DOLLARS ($10,000,000) or such lesser amount as has been advanced hereunder from time to time and remains unpaid, at maturity on June 30, 2003, subject to prepayment as described below. The City agrees to pay interest on the pnncipal amounts advanced from the date of each such principal amount, payable at maturity or upon earlier prepayment, at the annual rate of ______%. Both principal of and interest on this Note are payable in lawful money of the United States of America. The final payment of principal of and interest on this Note is payable upon presentation and surrender hereof at the office of ___________ as Registrar ("Registrar"). Interest shall be calculated on the basis of a 360-day year and paid for the actual number of days elapsed. This Note has been duly authorized by the City Council and is issued in anticipation of the collection of taxes and revenues of the City. This Note is issued under the authority of and in full compliance with the Constitution and statutes of the Commonwealth of Virginia, and, more particularly, issued pursuant to Section 15.2-2629 of the Public Finance Act of 1991, Chapter 26 of Title 15.2 of the Code of Virginia of 1950, as amended, and a resolution adopted by the City of Council on _____________, 2002 ("Resolution"). The principal sum payable under this Note shall be equal to the sum of the amounts advanced by __________, as requested by the City, as shown on the table appearing at the end of this Note or on a separate ledger maintained by ________, less the aggregate amount of any principal repayments which have been made on this Note. Each advance of principal of this Note shall be in the minimum amount of $100,000 and may be requested by the City by telephone. Each advance of principal under this Note is subject to repayment in whole or in part at any time or from time to time at the option of the City without penalty or premium. Any such repayment will not reduce the principal amount available to be advanced hereunder, subject to an aggregate maximum principal amount of $10,000,000.
