repair of any pipeline, pump station, facilities and appurtenances thereto that Chesapeake <br /> <br />may build or may have built on its behalf for the purpose of transporting water from the Lake <br /> <br />Gaston pipeline through Suffolk, provided that such use by Chesapeake does not impair or <br /> <br />cause unreasonable risk to the operation or maintenance of Portsmouth's facilities. <br /> <br />Portsmouth shall, acting through its governing body, approve, in accordance with applicable <br /> <br />law, the granting unto Chesapeake of such rights. Portsmouth further agrees that its duly <br /> <br />authorized representative shall execute all documents necessary to convey such rights to <br /> <br />Chesapeake (e.g., deeds of easement, license agreements, etc.), as soon as practicable after <br /> <br />receiving written request from Chesapeake. Chesapeake agrees that whenever it shall open <br /> <br />any of such streets, roads, lanes, alleys, or other rights-of-way for the purposes described in <br /> <br />this paragraph, it shall, to the extent reasonable and practicable, give notice to Portsmouth <br /> <br />and shall restore said property to its original condition, to the extent reasonable and <br /> <br />practicable, as soon thereafter as practicable, and properly guard said openings to prevent <br /> <br />accidents. Chesapeake shall defend and hold harmless Portsmouth from any claim, damage, <br /> <br />or liability involving either damage to facilities of Portsmouth or possible injury to third <br /> <br />parties for work done by Chesapeake in any Portsmouth right-of-way when such claim, <br /> <br />damage, liability or injury are not proximately caused by Portsmouth, its agents or its <br /> <br />employees. <br /> <br /> 19. MODIFICATIONS; COMPLETE AGREEMENT; GOVERNING LAW. <br /> <br />This Amendment may be modified only in writing signed by authorized representatives of <br /> <br />the parties. It comprises the complete agreement between the parties on the subjects <br /> <br />contained herein, and any prior oral or written commuuications between the parties are <br /> <br /> 11 <br /> <br /> <br />
